Corporate Counsel will execute on legal strategy while managing day-to-day legal operations. Corporate Counsel will provide legal and business advice throughout the full life cycle of the business relationship with clients and vendors. This position will primarily manage, draft and negotiate professional services, technology and vendor contracts, provide transactional assistance and ensure compliance to legal and corporate standards.
The Corporate Counsel will provide counsel to the executive team on a range of contract, risk management and compliance matters. In addition, they will provide practical legal advice and support across all business functions, including sales, business development, product management, marketing, human resources, intellectual property, privacy and domestic and international operations. The Corporate Counsel responsibilities include:
Contracts. Draft, review, negotiates a broad range of client, partner and vendor agreements by working collaboratively with business and functional teams in a manner that accomplishes the business goals, including optimization of timelines and creating a positive experience for our clients while mitigating corporate risk. Have a strong role supporting the sales teams to ensure clients move through the purchasing process and experience a positive interaction.
Advisor. Advises business leaders on the legal risks and drafts mitigation solutions around proposals, business strategies and agreements. Actively partners with the leadership team in execution of business development and partnership transactions. Acts a business partner to team members throughout the organization supporting them in effectively managing the company’s risks and business opportunities.
Risk and Compliance. Manages risk and compliance management and advises the leadership team on strategies to be implemented and then executes on these strategies through best practices and operating standards. Assists in ensuring compliance with all applicable U.S. and applicable international laws and regulations, including but not limited to GDPR, FCPA, UK Bribery Act and anti-harassment, through the development, implementation and training of compliance programs.
Litigation and Collections. Assists with resolving legal-related disputes with third parties, including debt collection activities, managing outside litigation resources as necessary.
Outside Counsel. Manages relationships and oversees work product from outside counsel and other legal advisors.
Intellectual property. Work to maintain and protect our intellectual property portfolio, including patents and trademarks with outside counsel.
Systems. Implement and management contract management system, processes, procedures and database.
JD degree and a minimum of 7-10 years of legal experience and a member in good standing of the Virginia Bar.
Must have a minimum of three years of direct experience of drafting, reviewing and leading the negotiations of professional services and/or other technology contracts with Fortune 500 clients and have a firm understanding of IP matters.
Demonstrated ability to efficiently manage a significant volume of transactions at a fast paced technology company.
Ability to influence, strong executive presence
Both in-house and private law firm experience is preferred.
Must have a proven record of commercial awareness and of high-quality contribution to business strategy and delivery.
Excellent negotiating, time management, project management, dispute resolution and interpersonal skills along with the drive, commitment, a bias for action and a preparedness to collaborate and innovate.
Proven ability to draft and negotiate contracts, and provide legal advice in a manner that balances corporate risk with reducing the time to close a deal
A team player with the ability to focus, direct and manage the efforts of external legal resources to provide critical legal support.
Must work well with clients and management to advise them on important legal aspects of transactions and projects.
Excellent interpersonal, leadership, communication and organizational skills.
Self-motivated, strong work ethic, and ability to handle and timely complete multiple tasks
