General Commercial/Contracts, Non-Profit Associations
This position is the Associate Counsel (“AC”) of the Company and provides legal advice on internal matters as well as maintains relationships with appropriate industry experts. The AC reports to the Company’s General Counsel (“GC”) and will assist the GC on strategic and tactical legal initiatives. The AC will provide management with effective advice on Company strategies and their implementation, assist in management of the legal function, and assist in obtaining and overseeing the work of outside counsel. The AC will be directly involved in complex business transactions in negotiating critical contracts, and will provide legal advice that guides the Company towards conformance with legal requirements. Additionally, the AC will have a policy function to assist and coordinate with the GC and the Company’s Policy Department to develop and implement policy that keeps the Company at the forefront of serving the global public interest in the Internet. The AC will also assist in the management of the Company’s Anti-Abuse Program for domain name registrations.
Essential Duties and Responsibilities
Assists the GC in the consideration, formulation and execution of the business objectives, strategies and policies of the Company; and assists in development of corporate practices and programs.
Advises on legal aspects of current and future business structures and legal entities.
Provides continuing counsel and guidance to the Company and its management on legal matters and on legal implications of all matters related to the business.
Assists the GC in development and implementation of procedures necessary or advisable to satisfy the Company’s risk management objectives.
Acts as lawyer/legal advisor on major business transactions: Manages deal teams and transaction processes, helps negotiate legal/ structural and business issues, and drafts documents.
Assists in GC’s responsibility for litigation matters of the Company, including analysis of the threat and merits of disputes and court cases, appropriate defense, prevention and strategic measures; and negotiation and approval of settlements where warranted,
Assists the GC in development and implementation of corporate policy
Reviews contractual agreements between Company and outside vendors
Assists the GC in management of the Company’s Anti-Abuse Program aimed at remediating technical abuse (i.e., spam, phishing, malware) in the Company’s Top-Level Domains.
Minimum Education and Experience Requirements
Graduation from an accredited law school with admission to state bar where practicing
Minimum 2-4 years of experience of practicing law in a related field with proven history of successful results.
Experience in providing legal counsel within the internet and domain space preferred
Demonstrated breadth and depth of legal knowledge of laws and issues that apply to nonprofit companies.
