We are adding to our legal team and have an opening for an attorney that has intellectual property, technology and general transactional experience. This is a growth opportunity working with a talented, cutting edge legal team. We are looking for a highly collaborative and intellectually curious candidate with a passion for staying at the forefront of intellectual property law.
This position sits within the Law Department’s Transactional Law Group which is responsible for the majority of the transactional, technology, and intellectual property matters of the Company. This Group works in close partnership with others in the Law Department, the Compliance Department and the Procurement teams to support the needs and goals of the Transamerica Companies within North and South America.
Drafts and/or reviews various types of contracts such as: supply, services, software/technology licenses, purchase or sale agreements, TPA and outsourcing agreements.
Demonstrates the ability to identify, define and analyze problems, establish decision making parameters, assess risks, recommends prompt and practical solutions, and influences decision-makers.
Reviews and approves internal or external public statements from a legal standpoint.
Studies proposed and existing legislation affecting the company and advises departments concerned.
Guards against legal risks involving the company.
Advises on changes in laws and regulations.
Other duties as assigned based on need.
Conforms with and abides by all regulations, policies, work procedures, instruction, and all safety rules.
JD degree required.
State bar admission.
Minimum of 5 years of relevant experience.
Intellectual property experience.
Deep understanding and knowledge of trademark prosecution and enforcement action, both domestic and international, is required.
Additionally, experience in (i) Copyright matters within the corporate setting and DMCA enforcement; (ii) patent prosecution, patent licensing and NPE litigation; (ii) social media legal issues; and (iii) legal requirements of sweepstakes, contests and promotions and legal aspects of marketing/advertising is necessary for this role.
Knowledge and prior experience with software license agreements, Cloud agreements (IaaS, PaaS, SaaS), sourcing arrangements, international business transactions, data privacy and security, technology matters and basic intellectual property understanding.
Some exposure and experience in reviewing and drafting software, technology and outsourcing agreements, both from an intellectual property and general contract standpoint, is highly preferred
Domain name dispute resolution experience is strongly preferred.
