Barings is looking for a private funds / private equity attorney to become a member of the Private Equity Legal Team within the US Alternatives and Private Finance Legal Group. The attorney for this group will be primarily responsible for assisting internal business clients with issues relating to (i) formation of private funds and development of private investment products and (ii) investments in third party private equity / hedge funds, equity co-investments, and secondary transactions. This role will be located at the firm’s headquarters in Charlotte, NC.
The successful candidate will be expected to perform the following functions:
Provide legal advice on organizational and transactional documents related to private equity / hedge fund formation for U.S. and offshore funds / investment vehicles
Collaborate with internal business clients to develop private investment products
Review, analyze, and negotiate investments in third party private equity / hedge funds, co-investments, and secondary purchase & sale transactions
Provide day to day private equity legal support to internal business analysts and portfolio managers
Have a familiarity with the regulatory and operational aspects of representing an SEC registered investment adviser
Select, manage, and oversee external counsel in accordance with the firm’s Outside Counsel Management Guidelines
Communicate material legal, compliance and regulatory issues promptly to the firm’s relevant stakeholders
Provide support and counsel on special projects
Minimum of 5 years relevant experience working at a law firm or financial institution
Experience drafting and negotiating private fund and equity investment documentation
Knowledge and experience advising on the tax issues of private fund formation and investment strongly preferred, but not required
Knowledge of the Investment Advisers Act of 1940 preferred, but not required
