To support the General Counsel and Associate General Counsels in managing the legal affairs of the Amcor Rigid Plastics business, including responsibility for one or more areas of legal specialization. To supervise outside legal counsel in connection with projects, transactions and litigation. To provide legal advice, counsel, and representation in order to protect the company’s interests and operations under the law. To assist in the management and execution of Corporate Secretary duties, to ensure that Corporate Governance and Compliance processes are carried out, and to execute those additional tasks as directed by the General Counsel and Associate General Counsels.
Essential Duties & Responsibilities
Areas of Primary Responsibilities:
General responsibility for legal matters within assigned Business Units and geographies
Identifying and analyzing legal issues, drafting key documents, presenting clear recommendations and assuring legal compliance in the areas of:
Contract and Commercial matters
Real estate leases and other real estate related matters
Procurement matters, including transportation
In-house supervision of outside counsel for general litigation
Coordination with HR on employment-related issues
In-house assistance in understanding and managing intellectual property, primarily patents, including licensing.
Within areas of Primary Responsibilities, under the direction of the Associate General Counsel, and as otherwise assigned by the General Counsel:
Plans, manages, and directs the provision of legal advice counsel, and representation (both internal and external) in order to protect the company’s interests and operations under the law
Assists in developing and conducting preventative law programs for company employees
Ensures organizational compliance with laws, regulations, and industry and company policies
Negotiates and drafts documents or deal-specific clauses in written agreements entered into by the organization with outside vendors, suppliers, consultants, etc.
Evaluates and provides advice on the legal risk associated with business opportunities
Manages and directs outside counsel through the litigation process
Ensures proper record keeping of important company documents
Areas of Shared Responsibilities with the other Associate General Counsels and the General Counsel:
Specialty areas requiring specific expertise
Cooperation and assistance as needed
Development of departmental information management capabilities
Value Plus and Procure Plus initiatives
Education & Experience Required
JD degree is required, along with 2-3 years of experience as a Generalist in corporate law (contracts, commercial mergers & acquisitions, licensing, real estate, negotiations, litigation management, etc.). The qualified candidate will also need to be a licensed member of the bar, in good standing, and meet the requirements of the Michigan Rules of Professional Conduct for the practice of law in Michigan. Other requirements include strong problem-solving, communication, negotiation and presentation skills and the ability to think strategically. Occasional travel required.
