We are conducting an exclusive General Counsel search for our client who is an innovative industry leader in alternative energy. The General Counsel will to work closely with the CEO to provide business counsel and legal advice on a wide range of matters.
Knowledge base. Because of the interface with owners, operators, engineers, customers and vendors, a sufficient understanding is needed for the following:
the ideal candidate should have some aptitude in engineering, science and math (therefore undergraduate majors in these areas are a plus, as are abilities to construct spreadsheets)
essential aspects of the various alternative energy marketplaces for its products
the vendor space of technologies needed by Company
general domestic and international principles of intellectual property (with emphasis on patents and trade secrets)
essential aspects of the regulatory space in which Company operates
structure of projects and joint ventures, and the various cost, tax and income streams
understanding of costs and benefits of arbitration in various contexts
Licensing and IP Management. License IP to owners and operators of plants. License necessary IP from third parties.
PreFEED, FEED and Other Engineering Services. Work with officers to contract for, and oversee the delivery of, preFEED, FEED and other engineering services relating to design, operation and quality control of plants.
Vendor Partnerships. Work with officers to establish and maintain partnerships with select vendors (including joint ventures, profit sharing and quality control) and to oversee all vendors for quality control and profit maximization.
Project Management. Work with offices to oversee and help guide management of projects being deployed by customers.
Sales / Proposals Support. Work with sales team to manage and document sales.
Long-Term Program Business Planning. Work with officers to determine program resources required, internal and external, to execute commercialization in a way to maximize operating leverage.
Doctor of Jurisprudence (J.D.) from a top tier law school and excellent academic credentials.
Transactional experience from a top-tier law firm.
Stable work history.
Licensed to practice and in good standing with an applicable state bar.
Must have strong written and verbal communication skills.
Must have exceptional interpersonal and organizational skills.
Must be practical, proactive, business-savvy and results-oriented.
Must be entrepreneurial and creative.
Must be able to work in a fast-paced environment.
Must have strong ability to work with diverse cultures and develop mutually collaborative relationships.
Domestic and international travel required.
