Applied is seeking an energetic team player with deep experience representing public companies for a highly visible role in the Company’s legal department. Reporting directly to the VP, Corporate Legal Affairs, and Corporate Secretary, this attorney will work closely with executives and members of the legal, finance, tax, investor relations, and communications teams, and will play a key role on a variety of matters, including SEC and financial reporting and Nasdaq compliance activities, engagement with investors, and will also assist with general corporate governance work and support for the Board of Directors. The successful candidate will have a client-service focus, the ability to identify and analyze complex legal issues, and communicate them effectively to a non-legal audience, and the ability to work independently and collaboratively in a fast-paced, stimulating, and collegial environment.
Preparation and review of reports filed with the SEC, including disclosures on Forms 10-K, 10-Q and 8-K, and Section 16 reporting.
Preparation for quarterly earnings announcements, including review of earnings call scripts, earnings releases and investor presentations, and other internal and external corporate communications.
Preparation of the Company’s annual proxy statement, and the planning and execution of the Company’s annual meeting of stockholders.
Provide advice and counsel on Delaware corporate law, SEC and Nasdaq regulations, and general corporate and corporate governance matters.
Assist in the preparation and review of materials for the Board of Directors and its committees.
Remain informed of legislation, regulatory developments, and industry trends affecting the Company, and assist with the development of policies and training as needed.
Develop strong relationships with internal clients and colleagues, and work collaboratively across functions to find solutions that balance legal risk with the Company’s business objectives.
Create, implement and improve processes to mitigate risk and reduce inefficiencies in processes, forms and operations.
Actively manage external counsel, advisors, vendors and related budgets.
Education and Requirements
JD degree with excellent academic credentials.
10+ years of experience in general corporate matters, including securities law, corporate finance and corporate governance issues, with increasing levels of responsibility (ideally with a combination of experience at a top tier law firm and in-house).
Proactive, highly motivated self-starter with a high level of intellectual, professional and interpersonal agility, combined with strong analytical and problem-solving skills.
Excellent written and oral communication skills; ability to communicate complex issues simply and to provide actionable legal advice.
Excellent attention to detail and strong organizational and planning skills; capacity to work independently and simultaneously handle a variety of complex matters under deadline pressure.
Team-oriented, with proven ability to form strong working relationships and work cross-functionally to drive results.
Strategic, creative, practical and open-minded thinking with excellent business judgment and a focus on business outcomes.
Strong sense of humor, high personal standards of excellence and sound judgment.
Comfortable challenging the status quo and ability to address conflict and difficult issues in a professional and effective manner.
