Corporate Generalist, Department Management, Litigation
Treasury Wine Estates seeks a high caliber, corporate attorney to join our team as Americas Vice President, General Counsel (VPGC). Working with the Americas Region and the broader Global Legal & Governance team and reporting to the Chief People & Legal Officer, you will have a key role in developing and executing legal strategies and providing legal expertise as part of the commercial decision making across the Americas region. The VPGC is responsible for assessing the legal risks of tactics developed by the various functions within the region (e.g., sales, marketing, supply, finance and human resources). The successful candidate must have the vision and creativity to recommend commercially valuable legal solutions. Leadership in both a legal and commercial context is also required. This role has direct responsibility (under the supervision of the Chief People and Legal Officer) for managing outside counsel and other professionals supporting commercial activities such as sales, marketing, public relations and consumer direct.
Key responsibilities of the role include:
Manage and develop US-based Legal & Compliance team.
Negotiate and draft contracts for all commercial relationships, including distributors, advertising agency, sponsorship, research, information technology, property, events, and others with escalation to the Chief People and Legal Officer on significant matters.
Specify and implement internal governance compliance and corporate secretary responsibilities for all group Americas legal entities.
Advise management on a broad range of federal, state and local regulatory matters affecting the alcoholic beverage business, licensing, the marketing, sale and shipping of wine, trademarks, employment matters and litigation.
Solicit and manage input from outside counsel in the areas of intellectual property (in collaboration with the Global Director of Intellectual Property), employment law, trade practices and litigation.
Direct proceedings before federal and state regulatory agencies, including preparation of submissions (both compliance oriented and in contested matters) supporting TWE positions.
Actively participate in the development of commercial strategies and tactics relating to sales and marketing, with emphasis on distributor management. The successful candidate will demonstrate a wealth of corporate law experience, gained in either a top-tier law firm and/or a large corporate environment. You will have a deep understanding of laws in the Americas region with the ability to work in collaboration with our global team, while influencing a broad range of stakeholders. This fast-paced role will require you to manage competing priorities, providing both strategic and hands-on legal support to our growing business.
Qualifications and Experience:
Doctorate of Jurisprudence (JD) required; Licensed to practice law in California (either admitted in California Bar or a registered, or eligible to be registered, as in-house counsel in California).
Corporate legal practice experience required, including 8+ years in-house experience with broad legal corporate oversight.
Self-motivator who can work in a fast-paced international public company environment and successfully interact with executives, business management and legal colleagues to deliver legal strategies on complex legal issues.
Demonstrated success at providing strategic counseling to business partners that takes into account legal considerations along with business goals.
Excellent interpersonal and communication skills and demonstrated ability to manage, develop, engage and lead legal professionals.
Excellent leadership skills required, and the successful candidate must have potential to assume an executive role.
Excellent organizational skills, ability to multi-task and attention to detail are required.
Strong financial and budget management experience required.
Excellent risk evaluation skills required.
U.S. (primarily California) employment law knowledge/experience required.
Legal training leadership skills for competition law, employment law and trade practices.
