Responsible for assisting Deputy General Counsel manage legal transactions with a particular focus on SEC reporting, public and private debt offerings, commercial borrowing, tax restructuring, M&A and compliance. The position will also support the daily commercial needs of the Flooring North America division, which will involve the review and drafting of supply and customer contracts, NDAs, licenses and other agreements. Ability to communicate effectively and keep stakeholders informed is highly valued.
Responsible for all SEC reporting obligations with minimal internal support including principal responsibility for drafting proxy statement, review and comment on annual and quarterly reports, draft periodic reports and manage section 16 filings.
Primary responsibility for finance transactions and credit agreement compliance. Commercial support for treasury function.
Coordinate tax restructuring and transfer pricing transactions. Draft intercompany agreements and manage intercompany commercial and finance transactions.
Support domestic and international M&A activity. Coordinate diligence and anti-trust and other regulatory filings. Draft ancillary/principal documentation.
Participates in negotiation and drafting of customer and vendor contracts. Provides legal/compliance advice to business operations.
Support the corporate secretary’s office in connection with board meeting preparation.
Work with internal staff to oversee subsidiary maintenance program. Oversee database for 200 subsidiaries.
Responsible for major corporate policies—sanctions, code of ethics, bylaws, insider trading—and implementing annual trainings. Implement corporate policies and initiatives.
Complete special assignments at the request of the department.
Conduct and oversee research into a variety of legal issues.
Provide analysis of legal and policy issues.
Performs such other duties as required.
Minimum of JD degree from top tier accredited law school.
Thorough understanding of current federal securities laws.
Know how business and organizations work. Understand the cultures of organizations and the origin and reasoning behind key policies, practices, and procedures.
Must be open to learning and willing to grow skill set to include corporate and commercial transactions.
4 to 7 years legal with several years’ experience in top tier law firm or corporate law department. Prior inhouse experience preferred but not required.
Must be comfortable managing a large number of stakeholders across multiple disciplines and geographies.
Must be an excellent communicator and project manager. Knows how to get things done both through formal channels and the informal network. Knows how to work with teams to meet deadlines and accomplish goals. Must be highly organized and driven.
Ability to draft, negotiate and facilitate wide range of commercial transactions, including: complex commercial agreements, purchase and supply agreements, sales and distribution agreements, intellectual property licenses, etc.
