The Associate General Counsel serves as corporate, real estate and litigation counsel for ARA, its real estate commingled funds, and the various separate accounts which ARA manages. The Associate General Counsel reports to the General Counsel, Chief Compliance Officer and works directly with the Investment Committee, Operations Committee, the senior management team, and the Chairman & CEO in the operations and administration of the firm.
ARA is a registered investment advisor under the Investment Advisers Act of 1940 and an ERISA fiduciary. ARA, through its funds and separate accounts, acquires real estate investments throughout the United States. Knowledge of the private equity real estate market and how such investments work and are structured is an essential part of this position.
This role has responsibility for corporate matters for ARA, its funds, and its separate accounts. Such matters include real estate related legal matters and agreements, litigation, and contracts. As the legal team is small and the company is fast-moving, the Associate General Counsel handles a wide variety of issues, including negotiation and drafting of commercial agreements.
This position supports all areas of the firm and works directly with the members of senior management and each department including, the Acquisitions, Asset Management, and Portfolio Management teams, along with the Human Resources and Accounting teams on a variety of operational and administrative matters.
Guide and assist senior management in the oversight of ARA's corporate legal matters.
Negotiate terms of service contracts and other commercial agreements. Ensure continued compliance with contractual obligations with the firm's key service providers.
Manage ARA's contracts including renewal versus termination decisions.
Oversee legal matters relating to ARA's clients, and the assets ARA manages for those clients.
Supervise firm activities to ensure compliance with existing investment agreements.
Oversee legal issues related to insurance coverage disputes and resulting litigation.
Provide strategic guidance on tenant default matters, including tenant bankruptcy, and to outside counsel pursuing eviction matters, seeking possession and monetary judgments.
Oversee the selection of outside counsel and manage the direction taken by counsel on asset-related matters. Negotiate engagement letters and manage and monitor outside counsel scope of work, billings, and quality of legal services provided.
Assist the General Counsel in ensuring ARA meticulously fulfills its fiduciary obligations to its clients under ERISA.
A member (in good standing) of the California State Bar.

Position type: This position is considered exempt under the Federal Labor Standards Act.
Expected work hours: 8:30 to 5:30, Monday through Friday. There are evenings and weekends where responses to communication are necessary although it is not mandatory to be in the office those evenings and weekends.
Travel: May be required to drive a personal vehicle for business (on occasion).
Work environment and physical demands: General office environment.
