Compliance, General Commercial/Contracts, Mergers/Acquisitions
The Commercial Counsel will provide legal support to our Canadian operations as well as support other areas of the business, be responsible for a variety of commercial legal duties, and closely collaborate with senior as well as line management across North America.
This position may be located at our North America headquarters in Reading, PA or executive offices in Wayne, PA.
The essential responsibilities of the position are:
Review, draft, redline, analyze and negotiate a wide range of commercial contracts, including but not limited to sales agreements, purchase agreements, distribution agreements, master service agreements, vendor and supplier agreements, commission agreements, equipment lease agreements and amendments.
Develop and update forms, templates, policies, procedures and checklists.
Conduct research projects.
Support Compliance and Ethics initiatives.
Assist with mergers and acquisitions.
Provide general advice and counsel to senior and line management on a variety of legal issues.
Minimum of 4-6 years of experience in a law firm and/or an in-house legal department.
Excellent written and verbal communication skills.
Proficiency in Word, PowerPoint and Excel.
The ability to manage multiple projects simultaneously while maintaining an attention to detail.
Admission to or eligibility for admission to the Pennsylvania bar or eligibility for Pennsylvania in-house counsel practice
A thorough understanding of the laws and commercial principles governing the purchase and sale of goods and services in Canada.
Experience in or with chemical, wholesale distribution, or similar industry.
Admission to the bar in one of the Canadian provinces, preferably Ontario or Québec.
Ability to read and write in French.
Experience supporting mergers and acquisitions.
