This a new and exciting position for Delta Dental. We are actively looking to bring on Director & Corporate Counsel to provide support for financing/investments/ M&A. The ideal candidate will have 7-10 years of experience with deep deal making (preferably in a highly regulated environment!) The role will provide legal counsel to enterprise management on a variety of regulatory, corporate, contractual, financial and operational issues, legal counsel to enterprise management on product development issues and coordinates with an oversight of outside counsel on matters involving the enterprise.
ESSENTIAL DUTIES & RESPONSIBILITIES
Provides experienced counsel and practical advice to the enterprise for a variety of current and prospective regulatory, corporate, contractual, financial, business and operational issues as needed. Analyzes and interprets complex enacted or pending legislation and regulations impacting current and prospective business operations and relationships, and assists with implementation of the requirements. Oversees outside counsel activities as needed and interacts with regulatory agencies and professional associations. Drafts, reviews and/or negotiates documents including, among others, agreements, regulatory filings, applications and correspondence. Partners with Legal staff to assist with their education and training as needed. Performs miscellaneous duties as assigned.
A Bachelors degree in a related field. A JD/LLB degree with active membership in the state bar where the position is located.
A minimum of 8 years of related experience as a practicing attorney in insurance regulatory/managed care law.
A minimum of 4 years of supervisory experience.
Comprehensive understanding of regulatory requirements applicable to all enterprise corporations.
Advanced analytical and problem solving skills; ability to give practical advice.
Solid understanding of Delta’s business and corporate culture, locally and enterprise-wide.
Ability to lead outside counsel and ability to lead and educate colleagues and other enterprise staff.
Excellent organizational/time management and project management skills and multi-tasking abilities.
Strong negotiation, advocacy and management skills.
Detail-oriented, flexible and creative.
Knowledge of and adherence to enterprise policies and procedures.
Knowledge of fundamental insurance accounting and finance principles.
Ability to research and analyze state and federal statutes and regulations.
Advanced contract and legal document drafting skills.
Advanced skills in organizing and handling complex regulatory filings.
Ability to maintain confidentiality.
