Overview: The General Counsel is a member of Spruce’s leadership team and is responsible for providing legal advice and counsel to the Chief Executive Officer, Board of Directors and the organization as a whole He/she will be a hands-on leader that provides constructive legal counsel, leads the compliance function and helps drive a culture of accountability and inclusion. While the General Counsel will serve as a corporate generalist, he or she will provide legal advice in specialized areas, including corporate governance, mergers and acquisitions, servicing (operation and maintenance), and asset management within the Spruce Finance companies. The successful candidate will be expected to lead and manage a small customer-focused legal department.
The General Counsel must function effectively as both a leader and an active member of Spruce's Legal Department, and on teams comprised of non-lawyers. He/she must analyze issues ethically and objectively as a member of the leadership team, to deliver insights to strategic decisions. When identifying legal risks, the General Counsel must have the demonstrated ability to understand them in the context of the business and its objectives and provide direction and, if need be, alternatives to the business team.
Company: From its roots as an asset originator, Spruce Finance Inc. has become a leading owner and operator of a portfolio of distributed generation solar and residential energy assets in the U.S. Spruce’s asset management capabilities extend over 150MW of installed capacity, and its goal is to continue to acquire operating residential and C&I solar assets and PPAs in North America. Spruce previously operated as a consumer finance company providing homeowners with multiple financing options for solar systems and energy efficiency improvements. Today, Spruce Finance is an M&A driven asset management company focused on utility scale renewable energy assets. Its independent subsidiary, Energy Service Experts, delivers end-to-end servicing to the solar industry.
Experience: A minimum of 10 years of practical legal practice demonstrating varied and increased responsibility gained in-house. The ideal candidate will have leadership experience and the ability to collaboratively execute strategy across multiple business lines while appreciating and furthering the company’s culture. This role requires significant M&A experience and, ideally, legal experience with operations and maintenance of hard assets.
