Corporate, Outside Counsel Management, Real Estate
BH Management Services, LLC and BH Equities, L.L.C. seek a proven leader with a strong background in transactional real estate law. The Senior Counsel, Real Estate reports to the General Counsel and will be a key leader within the organization. Responsibilities of the role include oversight of the due diligence function, which provides extensive service in connection with real estate acquisitions, dispositions, refinances and restructures, and management of outside counsel on certain real estate transactions. Ability to work in a fast-paced environment with aggressive deadlines while providing constructive leadership to an experienced team will be key to success in this position. Additionally, responsibilities will include legal review of transaction documents, contract drafting and negotiation. The position requires an abundance of communication, both written and verbal, with a wide variety of people throughout the company as well as with third parties, including lenders, sellers and purchasers.
Essential Job Functions:
Leading the company’s due diligence function, which requires overseeing a team responsible to review a significant volume of information, produce a thorough due diligence report, create property budgets, communicate key risk areas and oversee closings in connection with a title company, all on aggressive deadlines.
Reviewing real estate transactional documents, contracts and reports, including title reports, environmental reports, service contracts, purchase agreements and possibly lending agreements.
Partnering with departments across the organization, including acquisitions, asset management, operations and construction, to assure that the due diligence function provides the information and support necessary to execute on transactions and transition management of multifamily communities.
Providing management, support and leadership to an experienced team of due diligence professionals, currently including a paralegal/closing analyst, a senior due diligence analyst, two due diligence analysts, a senior due diligence coordinator and a due diligence coordinator.
Other duties as assigned.
Juris Doctorate Degree
Member of a state bar, with a license in good standing
6-10 years’ experience in legal practice, with 2-3 years in a law firm setting required and in-house experience strongly preferred
Legal knowledge and experience in the areas of real estate, commercial and transactional law, with at least 3-5 years’ experience with a primary focus on real estate
Prior experience managing professionals, whether as a manager in a corporate setting or a senior associate in private practice, or equivalent experience in a non-legal setting or role
Ability to travel as needed to meet the needs of the business
Strong knowledge of laws impacting the purchase, sale and ownership of real estate
Ability to provide positive leadership to an experienced team of professionals
Legal research and strong written communication skills
Knowledge of key contracts related to operation of a multifamily property preferred
Regulatory compliance knowledge helpful
Flexibility and openness to change
Strong organizational and communication skills
Ability to prepare presentation material and speak in front of large groups of people
Ability to thrive in a fast-paced environment
Ability to work with a diverse group of people and customers
