The essential purpose of this position is to facilitate Hyundai Capital America (HCA) business transactions, by providing legal support and advice concerning supplier and service arrangements from client/user-side perspective. The Senior Counsel – Corporate Transactions will be responsible for legal review, negotiation and documentation of vendor agreements entered into by the company in a manner that limits risk and provides clear requirements for suppliers. A substantial component of this function will entail working with the company’s IT Department to review, negotiate and document technology contracts, including software licenses, software for services agreements, hardware agreements, data center agreements and other types of information technology agreements. The Senior Counsel also will coordinate and liaise with outside counsel, as needed, on complex business contracts and projects.
Essential Job Functions
Negotiate, draft, and/or review vendor and intercompany contracts, including technology, software licensing, maintenance and service agreements, outsourcing agreements, inter-company support agreements, consulting and recruiting agreements, and all other types of product or service agreements relevant to the HCA business needs and initiatives, including statements of work, proposals, and amendments thereto.
Provide legal advice on and interpretation to HCA executives and team members about existing HCA contracts, including concerning disputes thereunder, and assist and advise on training of employees and management on contract and vendor management program policies and procedures.
Serve as Legal Team liaison member for Vendor Management Program; advise and implement best practices and improvements of existing policies and procedures and implement new policies and procedures in response to changes in laws and regulations pertaining to vendor management.
Oversee contract related administrative functions handled within Legal Team, including contract approval for execution, arrangement for signatures, contract repository system updates, tracking of contractual terms, organization of documents, and reporting.

Knowledge and Skills
Excellent and proven analytical, contract interpretation and negotiation skills
Knowledge of and experience in working on outsourcing, cloud, data and network security, BPO, SaaS, licensing, software development, staff augmentation, consulting, and other technology transactions common to a traditional “user/client” side
Excellent writing skills and knowledge of contractual issues and terms; strong attention to detail
Effective communication skills, ability to distill and appropriately communicate practical legal and risk advice and solutions to business audience; ability to interact successfully with business executives
Willingness to undertake substantial and diverse job responsibilities; ability to work independently and as part of legal and business teams
Open and flexible to adapt to constant change;
Self-directed; ability to work autonomously to meet deadlines, as well as work effectively in teams/cross functional groups
Education and Experience
Bachelor’s degree and Juris Doctor degree required
8+ years legal experience as an attorney in pertinent vendor contracts and IT technology transactional practice required
Big (national) law firm practice/in-house counsel transactional experience desired
Active member in good standing of State Bar of California
