The General Counsel will have overall responsibility for Steelhead LNG’s general legal affairs, including drafting/reviewing commercial agreements, resolving legal issues and mitigating overall legal/commercial risks.
Leads all legal activities for Steelhead LNG, in conjunction with the Board of Directors and Senior Management
Advises the Board and Senior Management on a broad range of regulatory and compliance matters
Develops and maintains an environment of positive collaboration with internal/external stakeholders
Acts as a respected legal representative, ambassador and liaison for Steelhead LNG with significant outside stakeholders and partners
Participates in corporate-wide strategic planning, policy and operational decisions in the long-term interest of Steelhead LNG
Provides an exemplary model of living the Steelhead “Business Principles, Ethics & Code of Conduct”; demonstrates leadership competencies
Applies innovative problem-solving skills and practical business judgment to anticipate and minimize risk for Steelhead LNG and facilitate efficient project development
Leads or co-leads the process of negotiating and drafting various legal documents on behalf of the corporation, including a broad variety of complex commercial, engineering and construction services agreements, with full understanding of the business and legal implications of proposed contract terms
Provides senior level support and leadership for Project Services and Contract Management
Provides strategy oversight for claims, litigation and regulatory proceedings, and oversees internal legal management of all claims
Prepares and/or approves legal policies, protocols, and contracts across divisions, and provides expertise and sign-off to group leaders
Understands, recommends and implements appropriate corporate structure to meet growth needs
Partners with other senior leaders to procure specialized systems that meet the organization’s legal requirements
Oversees all legal compliance matters, including anti-bribery and anti-corruption policies
Manages internal corporate matters, including execution of business structuring strategies and establishing/improving business management framework policies
Acts as a key contributor to organization-wide contingency planning and risk management activities
Participates in budgeting processes, and manages internal controls and safeguards
Manages significant costs related to functional contributions; is responsible for own area’s budgets and expenditures
Liaises with the Board and Senior Management with respect to roles and responsibilities; provides briefings to Chairman and Board; supports Corporate Secretary in providing briefings on governance issues to Chairman and Board
Prepares Board packages to support and direct Board governance functions
Competencies and Skills:
Outstanding interpersonal and communication skills, both written and verbal
Extremely high attention to detail and ability to handle sensitive and confidential information
Proven negotiation, drafting and analytical skills, including experience negotiating with sophisticated, nationally recognized parties
Willing to be a “hands on” contributor to the team
Proven track record of learning quickly, taking initiative and being resourceful
Ability to work independently as well as with business team members in a fast-paced, dynamic and pressured multi-project business environment
Experience and Qualifications:
15+ years of experience working in a multi-faceted legal environment, whether at a large firm or as in-house counsel
LLB/JD from an accredited law school
Experience with energy sectors, commodity sales and purchase agreements, regulatory processes and project finance an asset
