Transactional attorney with technical background to support the IT and other departments' technology-related needs, namely, drafting and negotiating software agreements; will also support the Innovation Next team with new technological initiatives and related agreements.
PRIMARY RESPONSIBILITIES/ACCOUNTABILITIES OF THE JOB:
Support IT Dept, Communications, Human Resource, Media and other business teams with implementation of various corporate applications, ecommerce solutions and software used to assist with company’s retail and wholesale supply chain operations.
Draft and negotiate information technology agreements, including consulting services, software license and maintenance, SaaS, reseller, hardware purchase/lease and web hosting agreements.
Handle complex IP and technology transactions such as joint development agreements, patent licenses, university collaboration agreements and NDAs.
Review innovation concepts to identify and evaluate patent-related issues.
Conduct annual trainings to IT Dept. to educate associates regarding key contract negotiation points and legal hot topics such as data security and privacy issues.
QUALIFICATIONS & EXPERIENCE:
7+ yrs experience working on IT transactional matters
Prior in-house experience a plus
IP background, namely, strong knowledge of patent and trade secret issues relevant to joint development projects
Should preferably have experience drafting, advising and negotiating contract terms related to data security and privacy
Ability to build client relationships and work collaboratively on cross-functional teams
Sound judgment, strong interpersonal skills, and the ability to juggle multiple projects under time pressure
State Bar Admission required
Strong drafting and negotiation skills
Exceptional communication & negotiation abilities
Ability to clearly articulate process (visually and verbally) for variety of audiences
Excellent active listening skills
Strong ability to influence and lead without authority
Flexible and adaptable; able to work in constantly changing situations
