The Associate General Counsel will be a critical member of the Legal & Compliance Department, providing direct support to the General Counsel and to the Company’s Softgel Technologies business unit on a global basis, as well as providing support as needed to other attorneys on a wide variety of matters.
The Associate General Counsel will be the senior legal resource for the business unit and a member of its Leadership Team, providing advice on, and assistance in negotiating and documenting, all commercial relationships, as well as mergers and acquisition matters and all other matters relating to the success of the business unit. From time to time, this may include legal advice and support on business disputes, personnel matters, and real estate issues, as well as legal training for the business unit’s business development team. The attorney will liaise as needed with other support and business functions to resolve issues. The attorney will also be involved in the administration of the Legal & Compliance Department, serving on the Department’s Leadership Team and supervising junior legal personnel.
Draft, review, analyse, structure and negotiate manufacturing, packaging, pharmaceutical development, purchase, supply, license and master service agreements
Advise business unit personnel with respect to compliance policies, customer and vendor relations, contract matters, regulatory issues
Assist in merger and acquisition activity relating to the business unit; Assist in corporate governance activity relating to the business unit
Provide general advice to senior management of the business unit and other senior Company business personnel on a day-to-day basis
Provide advice and guidance for the accomplishment of the overall business objectives of the business unit in compliance with applicable laws and regulations and avoidance of unacceptable risks
Provide informed cost-benefit analysis when identifying risks
Admitted to practice in New Jersey (NJ in-house admission is acceptable)
Minimum of 8-10 years of transactional/commercial law experience with a large law firm and/or in-house pharmaceutical experience
A business person’s lawyer with excellent judgment, particularly in determining the significance of legal matters and effectively measuring and minimizing risks
Strong organizational skills in order to prioritize and manage multiple time-sensitive projects simultaneously; Excellent written and oral communication skills, with ability to synthesize complex legal issues to essential elements for clients throughout the organization with different abilities and responsibilities; Strong interpersonal skills, including diplomacy and flexibility, and the ability to interface effectively with personnel at many different levels throughout the Company and with our customers and other business partners
Ability to manage and develop the potential of attorneys and paralegals reporting to the position
Willingness to travel and to spend time at customer locations and various Company locations in order to be present at negotiations, to better understand our business, and to provide guidance, advice, and training
