Compliance, General Commercial/Contracts, Risk Management
Our new Corporate Counsel will be an essential member of POWDR’s legal team, reporting to the SVP, General Counsel and Human Resources.
The Corporate Counsel will be the second attorney to join POWDR, and will work from POWDR’s headquarters in Park City, Utah. The Corporate Counsel’s responsibilities will include providing legal advice and assistance on a variety of commercial and operational matters, assisting on corporate transactions, managing litigation, and providing all facets of legal counsel to the Company’s diverse ski and action sports businesses. The successful applicant will work closely with legal and business teams to negotiate and draft contracts and advise with respect to all aspects of corporate transactions and commercial resort operations. The successful applicant will be an active member of the Utah bar or will be admitted to practice in Utah, will have at least five years of corporate / commercial law experience and strong interpersonal / communication skills.
AREAS OF RESPONSIBILITY
Provide thoughtful, timely, and well-supported advice to all properties in the POWDR platform
Review, draft, and negotiate a heavy volume and wide variety of contracts, including entertainment, partnership, food and beverage, lodging, event, marketing, supply, equipment agreements, and IT/SaSS/technology agreements
Advise on compliance and risk issues related to content development and promotion, particularly on social media and digital platforms and handling of customer information
Conduct efficient and high quality research on a wide variety of issues, particularly emerging areas of law affecting POWDR’s operations
Coordinate ongoing regulatory compliance with respect to matters such as business, labor & employment, liquor and
Implement and maintain internal systems and controls for legal issues and management platform-wide
Interact with vendors and vendors’ counsel regarding commercial agreement negotiation
Work with legal, business and operations teams to improve contracting processes and management, including developing internal policies regarding the same
Assist with transactional work, including the drafting of NDA’s, LOI’s and definitive agreements, as well as assist with all aspects of transactional due diligence
In conjunction with POWDR’s paralegal, maintain and ensure compliance with internal docketing systems.
Ensure efficient and reasonably short contract review timelines.
Engage and oversee highly efficient use of outside counsel

Must be currently admitted in Utah, California or Colorado. Must be eligible to practice in Utah.
At least 5 years of continuous applicable legal experience with a large in-house legal department or
At least 5-7 years experience at a major law firm.
Prefer either transactional experience or a litigation background in antitrust, securities, bankruptcy & restructuring or shareholder disputes.
KNOWLEDGE, SKILL AND ABILITY REQUIREMENTS
Knowledge of pertinent laws and regulations in Colorado and California.
Skills and Abilities:
Must be able to efficiently handle multiple priorities and deadlines and must possess strong oral and written communication skills with the ability to communicate effectively and with a high level of business acumen
Employment law experience in California is a significant asset as is employment law experience generally
Ability to operate independently and also within a team environment
Superior organizational skills

Ability to prioritize and consistently meet deadlines
Excellent analytical and interpretive skills with the ability to summarize and draw conclusions
