Located at Gallagher’s new corporate headquarters in Rolling Meadows, Illinois, and reporting to Gallagher’s Vice President and Deputy General Counsel, the Associate General Counsel – M&A will provide legal counsel to Gallagher and its global subsidiaries principally supporting mergers, acquisitions, divestitures, and joint ventures (M&A) transactions in the United States, implementing Gallagher’s key strategic initiative to continue to grow through mergers and acquisitions. This will include with opportunities to work on transactions outside the United States led by colleagues abroad.
The Associate General Counsel – M&A will be responsible for providing proactive, business-focused legal counsel to Gallagher’s global operations and will be required to:
Lead preparation, review and revisions of Letters of Intent, Asset Purchase Agreements, Stock Purchase Agreements, Merger Agreements, Joint Venture Agreements, Investment Agreements and all related ancillary transaction documents, instruments and agreements. Provide ongoing advice and counsel in connection with those transactions;
Manage the process of gathering and integrating other functional advisors and stakeholder input on deal documentation and regularly participate in and/or, where appropriate, lead the negotiation process;
Work collaboratively with a variety of stakeholders, including Gallagher’s senior management, as well as other Gallagher functions (e.g., human resources, internal audit, IT, risk management) in executing Gallagher’s strategic M&A growth strategy;
Continually develop, drive and implement processes, policies and procedures to ensure an efficient and robust M&A program;
Assist domestic and international units of Gallagher with a variety of other corporate matters as required; and
Stay current and serve as a subject matter expert on M&A developments, industry activities and emerging trends.
A JD from a leading law school, with proven academic success.
At least seven years relevant experience representing a global company in mergers and acquisitions matters, preferably in the financial services industry. Experience practicing commercial law in both a law firm and a corporation is preferred. Prior experience in insurance brokerage or insurance underwriting and in capital markets and bank financing is a plus.
Ability to identify and assess M&A transaction risks, and to provide ongoing practical, solutions-oriented advice and counsel to monitor, manage or mitigate risks. Proven success leading M&A transactions from inception to closing, with experience leading due diligence teams. Strong project management capability, with a bias for well-informed action.
Demonstrated leadership talent, with the ability to motivate and interface with employees at all levels by virtue of keen business acumen, strong analytical skills, excellent judgment, professional competence, emotional intelligence, credibility, flexibility and personal integrity. Proven capability leading and influencing cross-functional teams.
Exceptional interpersonal skills, with an ability to inspire trust and confidence with internal and external stakeholders with different cultural backgrounds.
Strong written and verbal communication skills, including the ability to clearly and concisely articulate complex legal concepts to a lay audience.
Proven experience in cost-effectively and proactively engaging and managing outside counsel and other service providers.
License to practice law and in good standing under the Bar of any state that enables admission to practice as in-house counsel in Illinois.
