We are seeking a motivated legal professional to work alongside a dynamic leadership team in our Americas headquarters in the Atlanta metro area. Reporting to the General Counsel Americas in Duluth, GA, as a commercial generalist, this individual will advise and help guide Americas business leaders on legal matters related to contract negotiations, compliance and intellectual property issues. The ideal candidate will have at least 3 years’ experience with an international company providing onsite corporate counsel in a fast paced, complex organizational structure. Must excel in customer delight with the ability to work closely with internal clients to ensure policy compliance while business needs are met.
Draft, review, negotiate, extend, terminate, and renegotiate commercial contracts throughout the Americas
Advise management on, and work to mitigate, contractual risk
Ensure compliance with standard terms and conditions
Assist with the drafting, revision, and administration of corporate policies
Review and maintain standard contract templates
Review non-disclosure agreements for compliance with standard terms
Advise on intellectual property matters, including licensing, patent claims and enforcement
A wide range of other matters faced by an international company, such as corporate governance, real estate, M&A, insurance, L&E, trade compliance
JD from an accredited law school
3-5 years corporate legal experience, with a preference for in-house experience, ideally with a strong software and cloud services background in the technology or medical devices industries
Must be able to effectively, persuasively, and diplomatically communicate in both verbal and written English; business level fluency in Spanish or Portuguese, would be a significant asset
Must be able to demonstrate exposure to or a strong interest in international matters, including working with a diverse international legal team
Strong experience reviewing, drafting and negotiating commercial contracts
Attention to detail, creativity, and flexibility are key attributes for this position
Ability to drive projects, multitask and meet deadlines with minimal supervision
Willingness to perform responsibilities with little to no administrative support, sometimes outside of normal office hours
Identify and resolve complex problems in a timely, decisive manner; use intuition and experience to make decisions
Travel, including international, up to 10%
Ability to sit for long periods of time and lift up to 50 pounds as needed
