Maxim is looking for an outstanding attorney with 10+ years of broad commercial and IP transactional experience in both hardware and software, to play a key role in managing and driving strategic initiatives of the commercial contracts team. As Senior Corporate Counsel, Commercial Contracts, you will be the lead counsel supporting Maxim’s business and operations teams in Sales, Marketing, Channel Management (Distribution), and Cloud and Data Center.
You will be considered a valued Business Partner to the business and operations teams you support and contribute significantly in their growth by providing counsel on issues that impact their bottom line and provideinternal training on the latest developments in law.
Your will draft, review, and negotiate contractual terms in commercial and IP transactions, assist the business and operations teams you support with understanding the meaning and implication of such terms, and develop appropriate proposals and counter-proposals for negotiation to the desired result.
You are a strong team player and actively contribute to the continuous development of knowledge, skills, and process improvements of the commercial contracts team.
You will be improving and creating contract templates and negotiation playbooks.
You will have the opportunity to mentor junior attorneys and work on cross-functional projects within the Legal Department.
You will assist in various matters from time to time such as M&A deals, commercial litigation, and other corporate matters.
7+ years of law firm and/or in-house legal work experience with a recognized technology company with a significant focus on technology transactions.
Significant experience in negotiating, drafting, and closing complex commercial and IP transactions with specific experience in both hardware and software.
Strong oral, written, and interpersonal communication skills.
Quality consciousness in your work product and high attention to detail, excellent organizational skills, and ability to manage multiple transactions and projects simultaneously under deadline pressure.
Demonstrated exceptional judgment and integrity with the ability to think strategically and give practical advice appropriately weighing legal and business objectives.
Able to simplify and explain complex issues and work in a practical, results oriented manner.
Strong leadership ability, including outstanding influence and communication skills.
Strong understanding of the U.C.C. concepts and familiarity with international commercial law.
Working understanding of business models, finance, and revenue recognition standards.
J.D. from a recognized law school and licensed to practice in California.
