Job Title: Senior Director – Legal
Department: Legal (Transactional)
Reports To: Vice President – Legal
Location: Irvine, CA (Corporate Headquarters)

The primary role of the Senior Director – Legal will be to oversee and advise on all legal aspects of HCP’s Senior Housing portfolio, including transactions support, asset management, healthcare licensing & regulatory compliance. Duties include but are not limited to:
Provide legal support on Senior Housing acquisitions, dispositions and transitions, including coordination of diligence, assistance with closings, and post-closing transition to Asset Management
Advise on all legal aspects of the day-to-day asset management of HCP’s Senior Housing portfolio, including review and interpretation of leases, management agreements and other operational agreements
Prepare, review and negotiate amendments, notices, waivers and consents under operational agreements
Review and negotiate confidentiality agreements, listing agreements, and other ancillary documents
Oversee the Senior Housing healthcare licensing process, including structuring, entity formation, license applications and license maintenance, including renewals and other required filings
Advise on regulatory compliance issues related to our Senior Housing portfolio (in consultation with regulatory counsel)
Work with Senior Housing Asset Management to develop forms and process for recurring legal requests
Assist with the generation, management and maintenance of legal forms and database
Supervise paralegals and other support staff and assist with other real estate related duties as required
Juris Doctor from an ABA accredited law school and admission in good standing to a State Bar (CA preferred)
4-8 years of real estate transactional experience (senior housing/healthcare preferred, but not required)
Willingness to learn senior housing licensing / regulatory process (if no prior experience)
Ability to manage detailed and complex transactions and other legal projects
Superior verbal and written communication skills, as well as interpersonal skills
Ability to work both independently and collaboratively within teams, including strong organizational and project management skills
Outstanding executive presence
Strong analytical and problem-solving skills with the ability to work in a fast paced environment
