To ensure that the Company fulfills its commitment to operate around the world in an ethical manner and in compliance with all relevant laws and regulations. In doing so, this role will (a) provide business advice and legal counsel to the Company concerning the Company’s product liability claims and litigation, and manage and administer relationships with outside counsel, databases and processes related thereto; (b) manage and/or conduct investigations related to the Company’s ethics and code of conduct program as matters arise from time to time; (c) serve as a compliance advisor and provide practical, business-oriented legal advice and counsel, including appropriate risk assessment, to select functions throughout the Graco businesses; (d) provide input to certain aspects of legal services budgets and manage activities against those budgets; and (e) directly or indirectly manage certain other compliance, litigation or regulatory professionals employed by the Company.

Claims and Litigation (40%)
Provide legal advice with a practical, business orientation to assigned divisions, regions and corporate functions (including other Company attorneys) on matters related to product liability claims and litigation
Understand the product technologies, designs and marketing strategies of the Company’s division(s)
Manage all product warranty and liability claims and litigation, including the activities and performance of outside counsel, and resolve them consistent with the Company’s philosophy
Develop strategies for and manage other claims and litigation as matters arise from time to time; assist with IP-related claims and litigation at the direction of the Director of IP
Supervise the Company’s Senior Litigation Paralegal
Ethics and Business Conduct Investigations (10%)
Assist the Company’s Executive Vice President and General Counsel with investigations arising out of or related to the Company’s Ethics and Business Conduct Program
Assist the Company’s Director of Internal Audit in identifying and quantifying compliance risk areas and their mitigations, as appropriate, as part of the Company’s Enterprise Risk Management assessment process
Compliance Duties (40%)
Establish and maintain frameworks and policies for our key compliance area
Provide compliance/regulatory legal advice with a practical, business orientation to various business units and decentralized operational compliance functions; includes trade, products, environmental and anti-corruption
Develop and deliver training on key topics falling within the Company’s compliance framework
Draft and negotiate contracts related to various compliance and regulatory aspects of the Company’s businesses
Provide product warranty advice to the various business units
Review product brochures, catalogs, and other marketing materials to address product safety, trademarks, and truth in advertising
Selectively participate in division, region and manufacturing operations reviews, annual sales meetings, and other division/region product-oriented activities as appropriate
Provide support to the Company’s Executive Vice President and General Counsel on government relations matters
Supervise the Company’s Environmental Specialist and Product Safety and Compliance Manager
Work on special projects as assigned by the Executive Vice President and General Counsel from time to time
Participate in M&A project diligence meetings, and assist in assigned legal diligence efforts related to the Company’s M&A transactions
Prepare and manage budgets for areas of responsibility
Effectively utilize internal and external resources and cost drivers, and continuously improve administrative processes
Juris doctorate degree from an accredited law school
B.A. or B.S. degree, preferably in a technical or business field
Membership in the bar of at least one state
At least ten years of prior civil litigation experience, including products liability work
At least five years experience in managing complex projects
First and second chair trial experience
Experience working with global manufacturing clients
Experience in analyzing and drafting product warnings and safety manuals
Experience managing other legal professionals and external resources
Experience conducting confidential investigations, interviewing individuals and preparing reports
Comfortable acquiring knowledge and understanding of mechanical or electrical systems and assemblies
General finance and accounting principles
Contract drafting principles and related best practices
Strong working knowledge of federal/national and local laws and regulations affecting U.S. manufacturers
Deep familiarity with litigation procedures and practices
Best practices with investigation principles and techniques
Excellent business judgment and strong negotiation skills
Excellent written and verbal communication skills and the ability to communicate effectively at all organizational levels
Strong analytical skills and detail orientation
