Principal attorney responsible for legal support for the company’s U.S. defined contribution plans (both qualified and non-qualified).
As HIPAA Privacy Officer, ensure compliance with HIPAA Privacy and Security regulations.
Principal attorney responsible for legal support for U.S. medical & dental plans and wellness program.
Attend and provide legal support at the company’s Benefits Design Committee, Benefits Investment Committee and Benefits Administration Committee meetings.
Provide legal counsel for the company’s executive and other account based compensation programs, including its global equity compensation plan and non-qualified elective deferred compensation program. Experience with Board Compensation Committee issues and materials and Proxy issues also necessary.
Work with outside counsel on drafting plan and trust amendments.
Support Corporate Benefits on drafting and editing Summary Plan Descriptions and other benefits related communications.
Experience in drafting and negotiating benefits-related service contracts.
Conduct ERISA/HIPAA training for new hires at HR services.
Supervise department paralegal with respect to subpoenas relating to the production of benefit documents.
Support legal team with respect to special projects and due diligence in corporate transactions.
Supervise and mange outside counsel with respect to certain employee benefit litigation
Reports directly to Vice-President, Deputy General Counsel – Labor, Employment and Corporate Functions.
J.D. degree from an accredited US or Canadian law school
A minimum of 10-15 years of legal practice experience in the area of employee benefits and executive compensation as described above or in similar areas, with some international experience and 3-5 years in-house experience preferred; Strong working knowledge of Labor and Employment Law would be a significant plus
Working knowledge of defined benefit plans, ERISA Title IV, actuarial principles, and Internal Revenue Code funding requirement is a plus.
Superior legal and analytical skills – excellent judgment and initiative in selecting the most effective and practical solutions to complicated problems
Experience handling compliance audits (DOL, IRS, Health & Human Services)
Excellent communications and negotiation skills
Strong interpersonal skills with a comfort level presenting to and advising senior management
Ability to work under pressure, prioritize and manage heavy workload, manage simultaneous tasks, and meet deadlines with a changing fast-paced environment
