Associate Counsel provides general commercial legal support to the senior management of the procurement and supply chain functions within Zebra, assisting those functions as they transact complex and high-dollar value business deals with national and multi-national suppliers of a wide variety of goods and services. Responsible for understanding business goals; structuring deals to meet those goals while adhering to Zebra’s company policies; conceiving and drafting contracts reflecting agreed-to deal structures; negotiating those contracts to execution against senior attorneys and management representing suppliers; and counseling on the enforcement of contract claims for and against Zebra.
A strong team-player with intense intellectual curiosity and a proactive approach who can work autonomously. Willing to absorb information and develop new legal skills and areas of expertise quickly, in a fast-paced environment. Able to support multiple demanding stakeholders, as follows:
Learns the overall business in detail and becomes embedded in the procurement and supply chain functions as a trusted partner who learns to speak their language.
Collaborates with those functions to understand short and long-term transactional goals pertaining to Zebra’s many suppliers.
Advises with respect to deal structures to optimize benefit and minimize risk.
Drafts contracts of varying complexity, including contracts for which there are no existing templates and that require significant creativity.
Drives contracts to closure with pace and positive enthusiasm.
As required, reviews contracts submitted by suppliers, modifies those contracts, and debates those modifications against experienced senior attorneys representing the suppliers.
Provides extensive counseling regarding enforcement of contract claims against suppliers and contract interpretation advice with respect to claims made against Zebra.
J.D. from an accredited law school. During employment, must meet requirements for continuing licensure for law practice. 5-7 years of experience, either in-house or with a law firm, and in either case, preferably representing technology businesses that are licensing software, and procuring and/or selling goods and services, to other businesses (B2B).
