This is an exciting opportunity in Indianapolis, Indiana for a Senior Counsel.The Cummins Legal function provides a full range of legal services in support of Cummins Inc. and its consolidated businesses.Our United States staff is located in Columbus and Indianapolis, IN. We also have international legal offices located in the United Kingdom, India, Australia, Brazil, China and Mexico and Africa. Through these various offices, we are able to support our businesses throughout the world.
Your impact will happen in these and other ways:
Senior M&A/commercial transactional attorney with roughly 10 or more years of experience in mergers, acquisitions, joint ventures and other strategic growth transactions. Strong preference will be given to candidates with significant experience advising on, negotiating and implementing complex joint ventures, especially those with cross-border implications. Experience in corporate governance, securities and finance is a plus.
Acts as an organizational leader in M&A, commercial and other corporate law matters and combines knowledge of these legal specialties with sound business acumen and knowledge of the business goals and objectives
Leads all legal aspects of our growth strategy, including acquisitions, joint ventures and reorganizations, working closely with the most senior members of our legal function, our corporate executive team and our Board of Directors.
Responsible for managing complex transactions from inception through integration, including partnering with business and functional leaders in the identification of acquisition, joint venture or divestiture targets, drafting and negotiating all relevant commercial agreements, such as non-disclosure agreements, letters of intent, joint venture agreements, purchase agreements, and all related ancillary documents
Responsible for training business and functional colleagues on best practices in M&A and related practice areas.
Expected to work independently and cross-functionally to bring team members together to efficiently and effectively execute the company’s growth strategy.
Brings practical solutions and business acumen to all transactions and initiatives.
Must have the ability to think strategically, assess the legal and business implications of initiatives and provide thoughtful, timely, practical and business savvy advice.
Manages a slate of domestic and international legal firms dedicated to partnering with the company to deliver value-driven legal support for the company’s strategic objectives.
Responsible for updating and developing best-in-class templates and other tools to effectively support the M&A process.
Acts as trusted advisor for business teams and management; has strong grasp of business environment and the industry; effectively partners with stake holders to identify and design needed improvements; provides legal as well as practical advice within the appropriate business context; understands and manages client expectations.
Handles significant risk and/or complex legal questions and projects; negotiates legal matters within the individual realm of responsibility
Conducts legal projects independently
Identifies and drives development of legal strategies for business; manages client expectations to balance requirements and competing priorities; provides useful legal advice and alternative solutions
Has a significant impact on the organization's goals and influence in colleagues' actions to mitigate risks; understands the business context in which the colleague operates with complete consideration of the Company objectives; identifies and drives development of legal strategies for business
Prefer a candidate with five or more years of experience at an AmLaw 100 law firm, and two or more years of in-house experience, preferably in the automotive or other manufacturing sector. Willingness to travel domestically and internationally as required.

Compensation and Benefits
Base annual salary commensurate with experience plus annual variable compensation.
