You will report to the Sr. Vice President, General Counsel and Corporate Secretary, at the company headquarters in San Marcos, CA. Typical responsibilities include (i) reviewing, negotiating, drafting, and analyzing contracts; (ii) preparation and filing of documents with the Department of Real Estate and other government agencies; (iii) maintaining corporate books and records and preparation of corporate governance documents for company, its subsidiaries and associations; (iv) conducting due diligence in connection with the company’s acquisition of real estate and timeshare interests; (v) staying updated on relevant industry and consumer protection laws, and disseminating information to relevant team members quickly and effectively; (vi) maintaining the company’s consumer facing and inter-company documentation and (vi) other duties as assigned. Some travel will be required.
You must have excellent judgment in balancing legal risks with business strategy and a proven ability to quickly learn new areas of law, and independently function in a demanding, fast-paced environment. We’re looking for a highly adaptable and collaborative person who can handle ambiguity and rapidly shifting priorities with flexibility, patience, poise, and a sense of humor. You must be a strong team player, service oriented, with a “can-do” attitude.
Qualifications and requirements:
JD from a top tier law school; MBA is a plus.
Experience at well respected law firm. In-house experience a plus.
7-10 years’ experience in corporate governance and transactional work, including negotiating, drafting, reviewing, and analyzing agreements. Experience in the hospitality industry is preferred.
Experience with real estate transactions, real estate financing, and conducting due diligence for real estate acquisitions. Timeshare industry experience a plus.
Assist General Counsel with preparing corporate governance and board materials.
Outstanding oral and written communication skills, legal research skills and strong (practical) analytical skills. Must be able to distill complex matters into practical legal advice.
Must exercise strong judgment in balancing competing projects and sensitivity to competing demands faced by colleagues.
Advanced proficiency with Microsoft Word, Excel and PowerPoint.
California bar or admission as Registered In-House Counsel required.
