Major, Lindsey & Africa has been exclusively retained to conduct a search for a Vice President, Corporate Securities & Governance and Associate Corporate Secretary to be based out of our client, Herbalife's, Los Angeles, California headquarters.
Position: The Vice President, Corporate Securities & Governance and Associate Corporate Secretary will work closely with the General Counsel on negotiating and assuring internal compliance with applicable financing instruments, preparing or project managing all public company disclosures, filings and registrations, overseeing equity plan operation and providing counseling related thereto. S/he will also oversee board of director meetings and subsidiary management, support tax, treasury and controllership teams, oversee mergers and acquisitions and joint ventures, and support strategic initiatives.
Location: Los Angeles, California
Experience: At least 15 years experience as an attorney representing publicly traded companies including handling regulatory compliance, proficiency with SEC filings and executive compensation, M&A and finance transactions, and corporate governance matters. In-house corporate legal experience preceded by training at a well-regarded private law firm strongly preferred.
Compensation: Competitive and commensurate with experience.
Bar: Must be admitted to practice in a U.S. jurisdiction and eligible to register as California In-House Counsel.
