Delaware Life seeks an experienced attorney to join our Law and Compliance Department, predominantly supporting the corporate secretarial and insurance regulatory functions for our annuities, life, health and property and casualty insurance businesses. This position will be based in Waltham, Massachusetts.
The attorney will join the Law Department’s Corporate Governance and Regulatory team, reporting directly to the Senior Vice President and General Counsel. The team is responsible for the corporate secretarial function for all companies in the Delaware Life group, insurance regulatory advice and periodic and annual filings, including insurance holding company act filings, and support for reinsurance and other corporate and investment transactions.
Manage the day-to-day operations and functions of the corporate secretarial function for 35+ operating companies and subsidiaries, including:
- coordination and preparation of materials for all board and committee meetings (e.g., drafting minutes, written consents, agendas, resolutions and related supporting documentation),
- management of board schedules and agendas,
- maintaining key corporate documents and records
Assist with periodic and annual insurance regulatory filings, company licensing, and state corporate law filings
Provide advice and support for reinsurance and other corporate and investment transactions, including new company formations, mergers and acquisitions, and joint ventures
Provide advice and support for financial, market conduct, and other regulatory examinations
Interact with state regulators as well as industry groups
Provide guidance and input on annual and quarterly financial statements, notes, schedules and interrogatories
Assist with monitoring and implementation of state insurance laws and regulations
Law degree from an accredited law school
Admission to the bar of at least one state and eligibility for admission to the Massachusetts bar if not already admitted
At least 8-10 years of relevant legal experience with a law firm or insurance company
Legal experience in corporate governance, preferably as corporate secretary or assistant corporate secretary, including board involvement and managerial experience
Knowledge of insurance regulations, particularly insurance holding company and financial reporting regulation
Excellent interpersonal, organizational, written and oral communications skills, as well as executive presence
Demonstrated ability to work effectively both independently and collaboratively within a team environment
Strong project and time-management skills
Ability to manage multiple projects simultaneously and prioritize work requirements
