The Counsel is a collaborative partner with Lead Counsel and the Department’s business partners. As a member of the Legal Staff, the Counsel position manages his/her cases and other assignments in an efficient, effective, and solutions-focused manner. The Counsel creates and manages a budget for all matters handled by outside counsel and supports a culture of legal compliance and excellence through his/her work. Qualified candidates will assist clients in negotiating and managing complex debt, finance transactions and corporate governance procedures on a global basis. The Counsel position is critical to helping move the Legal Staff and the business towards successful completion of objectives.
Subject Matter Requirements:
Structuring, negotiating, reviewing and drafting a variety of commercial banking and finance agreements with external banking and finance partners.
Advising on internal finance and treasury matters, including payment processes and systems.
Assisting with GM’s corporate debt, including its public notes, revolving credit agreement and other borrowing and financing transactions around the globe.
Creating and maintaining, in partnership with tax, treasury and accounting, a process for management of banking and financing transactions.
Coordinating with other legal staff colleagues around the world and, when appropriate, managing outside counsel and local counsel in a variety of jurisdictions around the globe.
Lead or assist with additional programs and initiatives related to corporate and finance matters
Qualifications & Experience:
At least 5-9 years of experience in banking and finance transactions is required.
Corporate and finance training in a large law firm is strongly preferred. Prior in-house experience with a large company is a plus, but is not required.
Knowledge and understanding of automotive industry environment and business needs is a plus.
Experience working with and/or leading cross-functional and global teams on legal matters is preferred.
Ability to collaborate, build relationships, gain credibility, and partner effectively with others up and down a matrixed organization.
Demonstrated ability to manage multiple projects simultaneously from inception to completion while meeting all project goals.
Demonstrated experience prioritizing conflicting demands from multiple business clients in an extremely fast paced environment.
Ability to set and meet multiple priorities, initiative to take on new challenges and high energy to partner with diverse teams in a fast-paced work environment.
Must be detail-oriented, analytical, technical, flexible, self-motivated and big-picture minded.
Ability to respectfully speak up, exchange feedback and boldly share ideas without fear.
Proven ability to establish rapport and participate in an environment of continuous improvement.
Strong written and verbal communication skills.
Commitment to high standards of quality and ethical behavior.
Law degree from an accredited college or university
Admitted to practice in at least one jurisdiction in the United States and, if not admitted in Michigan, the ability to qualify for in-house counsel status in Michigan
