An Atlanta-based international payment processing company is seeking a Senior Attorney, Securities and Governance to join the team. The Senior Attorney will assist with securities and governance as well as general corporate matters. This position reports to the Vice President, Assistant General Counsel – North America and is located in Atlanta, Georgia. The successful candidate will be detail-oriented and able to operate in a dynamic, fast-paced environment.
Providing legal advice on Delaware corporate law and Federal securities law (e.g., ‘33 Act, ‘34 Act and Sarbanes-Oxley).
Providing advice on NASDAQ compliance matters, corporate governance and general disclosure matters.
Assisting in preparing for meetings of stockholders, Board of Directors and committees of the Board of Directors.
Preparing SEC ‘34 Act filings, including proxy statements, 8-Ks, 10-Ks and 10-Qs, Section 16 filings and other public disclosures.
Establishing and maintaining internal and external practices of the highest quality in dealing with SEC requirements.
Collaborating with stakeholders to identify and appropriately disclose material information.
Proactively addressing potential securities issues to prevent or minimize legal risk to the company.
Interacting with external counsel, advisors, external vendors, and business partners.
Other general corporate matters as needed, including contract review and corporate governance matters
Perform related projects and duties as assigned.
Juris Doctorate (JD) from a top-tier law school and actively licensed to practice law in New York, Delaware or Georgia.
4+ years’ legal experience in either a top-tier law firm or publicly-traded corporation working on securities law and corporate governance matters.
