Our client, a well funded, fast growing life sciences start up company is seeking an experienced VP Legal/General Counsel to set legal strategies and functional plans for the Company’s growth, as it transitions into clinical development and prepares to commercialize its blockbuster lead product program. Title will depend on seniority and level of directly relevant experience. Reporting to the President & CEO, this legal executive will be responsible for leading all legal matters, including strategy development, the establishment of complex business transactions, the management of intellectual property, employment law matters, contracts and the coordination of legal matters handled by outside counsel. This individual will also be responsible for executing functional plans for managing legal matters, including activities to be performed in-house or through third-party relationships to best manage the Company’s legal activities to manage risk, while maximizing value for the business.

Develop a dynamic legal strategy and infrastructure to support both current and future corporate objectives as the business evolves.
Provide leadership on cross-functional teams, identifying legal issues, providing legal options and analysis of possible legal solutions. Provide recommendations to executives for addressing critical issues so that business and legal objectives are met.
Advise on the interpretation of legal documents and applicable laws and regulations in a manner that provides executives with practical legal advice while properly managing risk to the organization.
Draft, review, negotiate and interpret a wide range of general corporate and commercial agreements.
IP portfolio management including US and foreign patent prosecution and patentability, freedom-to-operate and invention disclosure.
Draft, negotiate and review IP agreements including nondisclosure, research, license and other agreements involving the use, transfer, or ownership of intellectual property.
Counsel Research and Management colleagues with regard to patent portfolio and strategy.
Provide support for business development, including for in-licensing and acquisitions.
Advise the company on employment matters.
Keep apprised of new laws, regulations, and industry trends affecting the organization, and assist with development of policies and training as needed.
Optimize outside counsel work so that it is timely and cost-effective. Work creatively with outside counsel on budgetary issues (including preparation and management of budgets and forecasts) to minimize fees and costs to resolve issues effectively.
15+ years experience in legal practice, with a combination of large law firm and in-house experience.
Experience working as in-house counsel in the biotechnology/pharmaceutical industry responsible for providing legal advice on a broad set of general corporate matters to both public and private enterprises.
J.D. from an accredited law school.
A life sciences degree is strongly preferred.
Ability and desire to roll up one’s sleeves and do the work as well as handle the big picture strategic and functional matters.
Business acumen and the ability to effectively collaborate and communicate with executives and the Board of Directors.
Executive presence with partner organizations, investors and the Board of Directors.
Unquestionable integrity with the highest ethical standards.
Strong interpersonal skills, with excellent written and verbal communication skills.
