LLR Partner seeks a highly-motivated attorney for a General Counsel position. This role will serve as a business partner to the General Partners of the Fund and will support the firm in all legal aspects of the investment process, fund management and new fund formation. The successful candidate will have a minimum of 8 years of relevant experience, whether at a prominent national law firm or in-house at a private equity investment manager. Experience in private equity transactional matters is required. Experience in private equity fund formation and/or LP-side representation experience is strongly preferred and knowledge of SEC compliance laws. Responsibilities include:
Support the investment teams on investment due diligence matters, participate in the review and negotiation of various legal documents such as Purchase and Sale Agreements, Financing Agreements, Letters of Intent, Term Sheets, Engagement Letters, Consulting Agreements and other relevant legal documents. Participate in the structuring and formation process of all investment opportunities.
Manage the multiple relationships with outside law firms in various jurisdictions.
Assist in the implementation and monitoring of LLR Partners’ Compliance Program on an annual and quarterly basis.
Participate in the fundraising process of LLR Partners’ private equity funds and co-investment vehicles. Assist in preparation of PPMs, governing documents, subscription agreements, investor due diligence questionnaires and limited partner side letters.
Manage subscription/closing process. Attention to post-closing items, including Form D filings, MFN process, LPA amendments.
Participate in the structuring of the LLR Partner General Partner vehicles and carried interest program. Assist in the preparation of governing documents, vesting schedules, guarantees and 83(b) elections.
Assist with LLR Partner’s corporate governance matters, employment related matters and other relevant management company legal issues.
Miscellaneous day-to-day matters, investor requests, review of investor correspondence (including capital call and distribution letters and quarterly and annual reports), underlying manager/sponsor requests and requests from LLR Partners’ investment, accounting, marketing, and investor relations teams.
Assist portfolio companies in their corporate governance and transactional matters, review of contracts and employment agreements, Management Equity Programs and when necessary prepare and circulate board resolutions.
