Robert Half Legal is immediately seeking a Senior Finance Attorney for an in-house role at a financial institution located in downtown Chicago.
The successful candidate will be able to provide practical legal and business advice with regard to a wide variety of legal issues that arise in many contexts in connection with credit, finance, insolvency and related structuring. Helpful areas of experience may include negotiating and documenting secured and unsecured loan transactions, participation agreements, mortgage loan purchase agreements, warehouse lending agreements, , letters of credit and vendor contracts. Experience with residential mortgage securitization or other asset securitizations desired.
The successful candidate Is able to quickly identify, analyze and propose solutions to legal and business issues; will partner with business clients to support business objectives in a manner consistent with applicable law and corporate risk tolerance; and is a strong team player who is proactive, detail oriented, and able to constantly prioritize while handling multiple tasks. The successful candidate has experience leading negotiations and structuring large, significant deals, and is a self-starter, with the initiative to move projects forward without significant oversight, but with a strong understanding of when to escalate/involve others. This position has the opportunity to grow into a managing attorney role.
Develop a deep and expert understanding of the company’s products, services and business model.
Build strong relationships with Bank executives, business development teams, and other internal clients.
Provide sophisticated and proactive legal support to the Bank’s financial markets group, credit and collateral groups.
Assisting internal clients in reviewing transactional documents, identifying legal, structural and related risks in potential transactions, ensuring the documentation aligns with the client’s understandings and expectations, and offering constructive solutions to mitigate risks while achieving the key objectives of the business team.
Draft, edit, and negotiate a variety of agreements, including whole loan purchase and servicing agreements, loan agreements, securitization documents, other financing agreements and vendor contracts.
Provide legal and regulatory advice in connection with the Bank’s business and product development.
Support for the Bank’s investment team in analyzing regulatory authority for Bank investments.
Leading, assisting and/or providing support for legal and other corporate initiatives undertaken by the Bank.
Sourcing, overseeing, directing and/or reviewing the work of external counsel and management of outside counsel relationships (as-needed).
Required work experience/skills:
Minimum of 7 years relevant experience combined in both a large law firm in the corporate finance, structured finance, or other comparable department and an in-house law department structuring, drafting and negotiating a variety of complex finance agreements and working on general finance and corporate law matters.
Must be a member in good standing of the Illinois Bar.
