Reporting directly to the Senior Vice President/General Counsel, this position will provide broad-based legal and professional support to Accuride’s expanding global businesses and assist with all of the legal affairs of the organization.
The Associate General Counsel will be a hands-on, team-orientated legal professional. This highly visible and impactful role will be located in Accuride Corporation’s Evansville, Indiana headquarters.
Provide business-focused legal advice to all levels of Company management, including the senior leadership team.
Review, draft and negotiate a variety of domestic, international, and multi-jurisdictional agreements with suppliers, customers and other third parties, including sales agreements, purchasing contracts, lease agreements, distribution agreements, and other business-related agreements.
Interpret laws, rulings and regulations to determine how they apply to the Company.
Assist the legal department in managing governance and compliance matters in multiple jurisdictions.
Collaborate with and effectively manage outside counsel worldwide to deliver the legal support needed for global operations.
Provide legal support for corporate initiatives such as mergers and acquisitions, strategic alliances, joint ventures and corporate finance matters.
Assist in managing litigation and rights enforcement, including employment law issues.
Work with the legal department to provide counseling on business and legal risks associated with possible business decisions, including advice regarding how to appropriately manage such risks while achieving the Company’s objectives.
Represent the legal organization on various cross-functional teams as required.
Conduct training on various legal topics.
Key Selection Criteria:
Minimum of five years experience as a corporate/commercial attorney, preferably both at a large law firm and legal department of a multi-national corporation.
Extensive experience reviewing, drafting, negotiating a wide variety of commercial agreements and advising clients of legal, regulatory and compliance risks associated with complex commercial transactions.
Ability to translate legal implications of contract terms into identifiable and understandable business risks.
High business acumen with working knowledge of finance and accounting.
Strong organizational skills and the ability to manage several simultaneous and high priority projects under deadline pressure in a dynamic, fluid environment.
Highly developed written and oral communications skills, with special emphasis on excellent drafting, negotiation skill and exceptional attention to detail.
Member in good standing of at least one state bar, although it is not necessary for the attorney to be a member of any specific state bar.
This position requires top academic credentials, including a four-year college or university degree and a Juris Doctor degree or equivalent from an accredited law school.
