Our client, a $2B+ technology driven business unit of a Fortune 75 company, is seeking an experienced attorney to join as their Assistant General Counsel. This role will provide general commercial, contracts, advertising, corporate, litigation, antitrust, regulatory, merger, acquisition & disposition legal advice and counsel.
This position will be responsible for the negotiation, review & drafting of a broad range of commercial agreements, including supply, sales, marketing, distributor & sales agent agreements, licensing & procurement agreements as well as advising on mergers, acquisitions & dispositions, internal entity reorganizations and conducting due diligence. The position will further provide risk assessment for all business plans, arrangements and agreements to local business leaders. Finally, the position will be responsible for creating and conducting compliance training programs throughout the region.
The position will support/liaise with the Antitrust, Corporate, Intellectual Property, Environmental, HR, Litigation, Marketing, Risk Management, Finance & Tax resources in the broader organization as well as engage, direct and manage outside counsel as required.
Candidates must have the following qualifications in order to be considered:
Law degree from a top US Law School and admitted to practice in the jurisdiction where practicing.
7-10 years experience, split between a major law firm and corporation
Superior legal drafting skills and experience drafting and negotiating a wide range of commercial contracts and corporate documents.
Strong business acumen and demonstrated experience providing practice advice and guidance to senior management and other business leaders.
