POSITION SUMMARY RadPartners is seeking an experienced attorney who is looking for an exciting and fast-paced in-house opportunity at our rapidly expanding Practice. The position will report to the General Counsel and will focus on a broad range of the Practice’s complex transactions and corporate matters.
TEAM OVERVIEW The Corporate Counsel will join RadPartners’ growing legal department, working alongside and in support of our highly experienced business team. POSITION DUTIES AND RESPONSIBILITIES Provide advice and support on a variety of legal issues relating to corporate and transactions undertaken by the Practice, including debt and equity fundraising and mergers and acquisitions. • Work directly with business counterparts to identify legal risks and issues arising contractual matters and business transactions. • Counsel management team on proposed transactions and other legal matters. • Review, advise, negotiate, and draft a wide range of legal documents and commercial agreements. • Draft and negotiate definitive agreements for transactions. • Prepare schedules and review diligence relating to corporate M&A and finance transactions. • Manage and coordinate matters with outside counsel. • Advise on the Practice’s corporate governance documents. • Other duties, as assigned.
DESIRED TECHNICAL AND PROFESSIONAL SKILLS AND EXPERIENCE • J.D. degree from an ABA accredited law school. • Licensed to practice law and a member in good standing of the California bar. • 8+ years of corporate/transactional experience at a law firm. Experience with the healthcare industry and in-house preferred. • Excellent oral and written communication skills. • Strong organizational skills and attention to detail. • Ability to multi-task and prioritize work matters. • Ability to work with and maintain confidential information. • Strong interpersonal skills. • Strategic thinking skills to provide practical advice with an awareness of legal risks in the business context. • Intermediate MS Word, PowerPoint, Outlook, and Excel required.
