Our client, a dynamic multi-billion dollar technology driven company, is seeking an experience attorney to join as their Chief Compliance Officer. This role, which will report into the Senior Vice President, General Counsel, will oversee and manage the company’s enterprise-wide Ethics and Compliance Program and coordinates activities and processes that promote a culture of high ethical standards and compliance with global laws and regulations
Responsibilities will include the following:
-Identify ethics and compliance risks through development and implementation of robust risk assessment framework
-Develop, implement and revise policies and procedures to manage and mitigate risks
-Partner with senior management of business to develop corresponding internal controls consistent with the organizational risk profile
-Develop corrective action plans
-Develop, implement and revise policies, procedures, record keeping, testing, monitoring, analysis, issues escalation and resolution and reporting processes
-Lead or oversee investigations concerning potential violations of laws, regulations or policies, including insider trading, Standards of Business Conduct, fraud, corruption, asset misuse or misappropriation, interview witnesses, collect and analyze evidence and prepare appropriate reports
-Develop ethics and compliance training and provide in-person and web-based training
-Meet with Audit Committee and external auditors, separately, on a regular basis
-Provide education, training, advice and assistance on ethics and compliance matters
-Actively manage ethics and compliance hotlines, including reports and communications
-Conduct enterprise-wide ethics and compliance monitoring and testing
-Ensure coordination with other company departments relating to ethics and compliance matters
-Integrate acquired companies into Ethics and Compliance Program
Candidates must have the following qualifications in order to be considered:
-Ten or more years of strong global compliance experience
-Demonstrated experience in: compliance; risk management; program management; and people management
-A strong academic record from top schools
-Proven ability to work with all levels of management
-Strong problem-solving skills
