Our client, a global technology driven company, is seeking an experienced attorney to be responsible for the Corporate Finance and Governance functions including SEC and regulatory compliance and reporting, M&A, and legal support for Corporate finance functions including Treasury and Tax. The AGC also works with the General Counsel to manage Board and shareowner matters.
-SEC disclosure, corporate governance, investor and shareholder relations, corporate transactions (including mergers and acquisitions, debt and equity financing).
- Responsible for oversight/preparation of agendas, materials and minutes for Board and Committee meetings; emphasis placed on synthesizing information so that key points are clearly presented in understandable format; Opportunity to present at Board Committee meetings.
- Provide legal support for execution of global cash management, liquidity and capital deployment strategies, including credit facilities, bond offerings, share repurchases, pension plan contributions, and compliance with investment guidelines.
-Supervise the risk manager who oversees the insurance portfolio
–Maintain responsibility for Environmental, Social and Governance (ESG) disclosure
Candidates must have the following qualifications in order to be considered:
-Ideal candidate will have 12+ years experience in the areas of public reporting, securities transactions, and debt offerings and credit facilities, preferably with a public company
-Have a firm understanding of corporate governance legislation, regulatory developments, market trends and best practices
-Strong executive and personal presence, leadership and communication skills. Has credibility to interact effectively with CEO and other senior level executives as well as with Board of Directors, shareholders and diverse group of professionals.
-A strong academic record from top schools
-Exceptional business acumen. Considers themselves a business leader who is also a lawyer.
-Direct and transparent with all issues. Doesn't hide problems or concerns, but rather brings them forward to be discussed and resolved.
-Acts with absolute and unquestioned integrity; exemplifies the company's values of respect and integrity with everyone he or she interacts with. Includes interactions internal to company as well as with suppliers, customers, government agencies, Board of Directors, shareholders and other partners and third parties that company does business with.
-Interact with senior level executives in the business development, audit, treasury, tax, government relations, investor relations and finance functions.
Employer will assist with relocation costs.
