The American Board of Medical Specialties (ABMS) is seeking an experienced lawyer to act as the organization’s Attorney. The Attorney’s legal responsibilities will be focused on maximizing the use of limited resources, enhancing ABMS’ operational standing in the medical community, expansion of revenue opportunities, all with the goal of positively impacting the bottom line. This position requires a blend of technical legal knowledge with an understanding of business requirements.
Reports to: Chief Legal Officer
Essential Job Responsibilities
Draft, review and negotiate contracts for a variety of corporate and business documentation, including domestic contracts and international agreements.
Collaborate and provide legal expertise to internal and external stakeholders.
Develop, implement and maintain processes and systems for contract management and renewal.
Manage and coordinate internal and external processes, communications, documentation and personnel to ensure compliance with applicable laws and adherence to contractual and other legal obligations.
Develop and maintain legal expertise in a variety of areas relevant to the activities of ABMS and its affiliates, including those involving accreditation, standard-setting, not-for profit status and taxation, domestic and international transactions, employment relationships, intellectual property, anti-trust compliance, and litigation management.
Perform legal research on legal issues impacting ABMS and its affiliates.
Educate and advise company executives in regard to legal and risk management issues.
Develop internal guidelines and policies on various legal and business issues.
Ability to review, structure, draft and negotiate various business agreements and contracts.
Manage outside legal resources.
Serve as primary contact for all intellectual property matters.

General understanding and appreciation of Intellectual Property issues and applicability in the association structure.
Ability to present innovative/original solutions.
Understanding of basic principles of Finance, Accounting, Marketing and Management.
Strong time management, prioritization, and organizational skills.
Education, Training and Experience:
Juris Doctor Degree from an ABA-approved law school; Licensed to practice law in Illinois.
Six to ten years of legal experience advising organizations, either in-house or in a law firm.
Experience advising organizations with respect to commercial activities, in the U.S. and internationally.
Some domestic and international travel required. (Must have a valid passport.)
Experience and proficiency with applications of Microsoft Office.
