General Counsel is a member of the management team. They will serve as the lead lawyer in representing the Indiana State Medical Association (ISMA) and its wholly owned subsidiary, the ISMA Insurance Agency, Inc. as well as its affiliate, the Indiana Medical Foundation, Inc.
Essential functions include but are not limited to the following:
Provides Executive Committee, Board of Trustees, management staff and other staff with legal advice on a variety of matters
Ensures compliance with organizational governance structure
Manages and ensures the most cost-effective provision of quality legal services on matters requiring involvement of outside counsel; determines, selects, and oversees appropriate outside counsel, as required
Coordinates the defense of any litigation against the Association
Reviews contracts and counsels management staff and other staff on negotiation of contracts and other legal documents with third parties
Works collaboratively with other staff in monitoring compliance of regulated programs and services; makes recommendations for systems, policies, practices, programs, and contracts
Works with management to assess liability in employment/personnel decisions
Writes, reviews and counsels on Constitution and Bylaws and other corporate documents
Assists the Government Relations department as needed; registers as a lobbyist
Supervises and counsels the Physician Assistance Program
Provides legal information to ISMA members
Attends meetings of physician leadership and physicians across the state, as needed
Staffs ISMA committees and commissions as necessary, including the Commission on Constitution and Bylaws
Serves as HIPAA Privacy Officer to ISMA and ISMA Insurance Agency
Other duties and tasks as requested
This person supervises 2 team members: the Physician Assistance Program Coordinator and Case Manager.

Core hours generally Monday – Friday, 8:15 a.m. – 4:30 p.m. with some flexibility on start and end time and additional hours as necessary to complete job requirements.
This position requires time spent with physicians, physician groups, industry stakeholders, and other organizations, sometimes outside of core office hours.
Travel required periodically, as duties dictate.

Required Qualifications and Education
The requirements listed below are representative of the knowledge, skill and/or ability required.
Bachelor’s Degree plus Law Degree
Minimum of seven (7) years’ experience working as an attorney
Previous experience representing physicians or other health care providers
Demonstrated ability to work in a dynamic environment, manage multiple stakeholder groups, provide leadership, and collaborate well with others
Ability to work independently
Proficient in Microsoft Office Suite
Knowledge of the structure and content of the English language, including spelling, grammar, and rules of composition
Experience with group insurance health plans, HIPAA and 42 CFR Part 2
