Scope: This position will serve as a team member in the legal department and will be responsible for providing legal support to affiliated companies of Israel Chemicals Ltd (NYSE: ICL), a multinational chemical manufacturing and specialty products company, with its Americas headquarters in St. Louis, MO. This position will report to the General Counsel—Americas. In addition, this position will serve as a member of the Global Legal Shared Services Team and will participate in global legal and compliance initiatives.
This Position Reports To:
Provide legal advice to management and operations teams on legal issues.
Draft, review and negotiate commercial contracts including sales agreements, distribution agreements, confidentiality agreements, consulting agreements, and others.
Manage due diligence and other relevant M&A activities.
Manage patent and trademark matters and related outside counsel.
Manage legal projects related to various business initiatives.
Assist with implementation of certain compliance policies.
Create template agreements as needed.
Work with global legal team on global legal initiatives.
Corporate governance issues in support of corporate secretary function of the legal department.
Provide legal department training and education to business team members as needed.
Collaborate across business functions to ensure legal compliance.
Juris Doctorate or LLM from an ABA accredited law school required.
Membership to the Missouri Bar, or eligible for admission to the Missouri Bar.
Willingness/desire to work on a variety of legal and compliance topics.
Ability to multi-task and manage multiple diverse projects in fast-paced environment.
Ability to think critically and resolve complex legal issues quickly.
Strong business ethics and integrity.
Ability to efficiently manage assigned tasks and provide quick turn-over of assignments.
Excellent verbal and written communication and negotiation skills.
5-10+ years of significant corporate experience in a law firm and/or in-house experience preferred; a minimum of 3 years of significant corporate experience in a law firm and/or in-house experience required.
Experience with drafting, reviewing and negotiating contracts required.
