Our Employment, Benefits and Governance team is hiring a Senior Benefits & Compensation Counsel to join our NYC headquarters. The role is a key hire for our team. You will work collaboratively to provide advice and support on a wide array of employee benefit and executive compensation matters and projects. The responsibilities include the following:
Providing advice and compliance support related to a wide variety of domestic and global benefits and compensation plans and programs, such as tax-qualified and non-qualified retirement programs, deferred compensation plans, and health & welfare benefits, including cutting-edge plan design advice;
Supporting and advising ERISA fiduciary committees;
Evaluating and advising on corporate mergers & acquisitions risks, and providing support and advice on benefits and compensation issues related to those transactions;
Providing support and advice on plan communications and summary plan descriptions;
Responding to ERISA plan participants' claims for benefits and appeals from adverse claim determinations;
Assisting in the preparation of securities law disclosure documents; and
Reviewing/preparing compensation-related agreements, letters and provisions, including equity compensation plan grant letters and terms & conditions.
Law degree with high academic achievement
3 – 12 years of benefits and compensation legal experience
Knowledge of ERISA and relevant federal tax and securities laws
3 or more years of experience operating independently to manage significant projects
Strong writing and editing skills
Strong interpersonal skills
Ability to interact with clients at various levels
Ability to work with minimal supervision
Attention to detail
Expertise in using internet-based research tools such as: RIA, BNA, EDGAR, Securities Mosaic
