Located at ACH’s offices in Oak Brook Terrace, and reporting to the Senior Vice President and General Counsel of ABF Americas, this is a unique opportunity for a proactive, experienced commercial generalist with strong business acumen to join ABF’s global legal team and provide advice and counsel to ACH and other ABF subsidiaries on a wide variety of corporate and commercial matters.
Handle and manage a diverse variety of legal matters arising out of the operations of ACH and other ABF subsidiaries, which shall include, but not be limited to, general corporate and commercial, joint venture, employment and compliance and risk management matters.
Advise senior management on commercial transactions, including acquisitions, divestitures and joint ventures, and draft, review and negotiate the attendant agreements. Provide counseling and guidance on appropriate risk allocation for strategic and core business transactions.
Review, draft and negotiate a wide variety of agreements, such as purchase, sales, nondisclosure, distributor, and service and supply agreements.
Proactively manage related matters involving marketing, licensing, sales, information technology, and human resources.
Provide ongoing advice and counsel on employment matters as they arise
Provide legal advice on federal, state and local government regulations and policies applicable to food products, including ongoing advice and counsel on labeling, packaging, advertising, and unfair competition issues.
Provide guidance on intellectual property (primarily trademark and trade dress) protection.
Efficiently and cost-effectively manage litigation and pre-litigation disputes.
A J. D. from an accredited law school, with demonstrated academic success.
At least eight years of broad relevant generalist commercial law experience supporting business operations, preferably in both a law firm and corporate setting. Experience in the food or other FDA-regulated industry strongly preferred.
Strong business acumen and the ability to understand ACH’s business, to quickly focus in on the aspects of a transaction or litigation that matter the most to the businesses, and be proactive in addressing potential issues.
The ability to independently review, draft and negotiate a wide variety of complex agreements, such as merger and acquisition, purchase, sale, nondisclosure, distributor, and service and supply agreements.
Demonstrated knowledge of laws related to the manufacture and sale of consumer products, including FDA/USDA regulations and guidelines. Experience reviewing labels and marketing materials.
Excellent interpersonal skills, with an ability to inspire trust and confidence with stakeholders at all levels by virtue of keen business acumen, professional competence, integrity, and personal style.
Ability to handle sensitive situations tactfully yet firmly, to be assertive without being adversarial and to take unpopular positions when necessary while maintaining trust and credibility.
Strong written and verbal communication skills, including the ability to clearly and concisely articulate complex legal concepts to a lay audience.
Proven success in managing, organizing and/or completing multiple tasks and priorities, with exceptional attention to detail. Ability to thrive in a fast-paced and changing environment.
Creativity, flexibility and resourcefulness, with a bias toward well-informed action.
Member in good standing with at least one U.S. state bar and the ability to serve as in-house corporate counsel in Illinois.
