The Corporate Counsel is responsible for providing legal advice and representation to HJF on matters assigned by the General Counsel. Matters may involve, among other things, issues of federal contracts and assistance agreements, technology transfer and licensing, compliance with domestic and international laws and regulations, employment law, and international business matters.
Review and provide advice to HJF management concerning:
Bids and proposals for federal contracts and applications for assistance agreements (grants or cooperative agreements);
Subcontracts and subawards;
Memoranda of understanding and memoranda of agreement;
Material transfer agreements
Cooperative research and development agreements;
Clinical trial agreements.
Provide advice and guidance to HJF on:
Federal procurement laws and regulations;
Federal assistance laws and regulations;
Ethics and compliance (including, but not limited to, compliance with export control regulations and the Foreign Corrupt Practices Act)
Technology transfer and licensing;
Intellectual property law;
Healthcare regulatory matters;
Corporate policies and procedures;
International law and business matters;
The law of tax-exempt organizations;
Corporate registrations and filings (domestic and international)
Participate in internal investigations as needed.
Support HJF in litigation, arbitration, mediation and administrative proceedings as needed.
Other duties as assigned.
Minimum Educational Requirements: J.D. from an accredited law school.
Required Licenses, Certification or Registration: Active member in good standing of the bar of a State or the District of Columbia.
Minimum Work Experience: At least 3 to 5 years’ experience as a practicing attorney.
Required Knowledge, Skills and Abilities: Excellent analytical, interpersonal, oral and written communication skills are required, as well as demonstrated skills in handling complex issues in a timely manner and ability to manage multiple projects simultaneously. Familiarity with some or all of the following: corporate law and business practices, federal and commercial contracts, assistance agreements, technology transfer and licensing, intellectual property, employment law and export control. Strong preference for international experience and/or regulatory experience in health care environment.
Work Environment: Office environment; willingness to travel internationally.
