Overview: Reporting to the CEO, the General Counsel (GC) will serve as a member of the senior executive team and will be responsible for all legal affairs of the company and its subsidiaries. S/he will act as a general advisor to senior management, oversee the review of all contracts, and serve as senior risk officer. The GC will be required to structure a business focused legal function, contribute to the strategy of the business and drive performance. In addition, they will be responsible for all documentation pertaining to the Board, providing corporate governance guidance and risk assessments relating to acquisitions.
This position requires an exceptionally accomplished attorney with a distinguished professional record and a strong business orientation, with depth in M&A and Securities. Personal and professional ‘fit’ within Select Interior Concepts, Inc.’s culture is of paramount importance. Company: Select Interior Concepts (“SIC”) is one of the leading providers of interior surface products and services for residential and commercial builders. It has two subsidiaries doing business as Residential Design Services (“RDS”) and Architectural Surfaces Group (“ASG”). SIC is a newly formed corporation established to combine two highly successful businesses to create new opportunities in high quality home interior product segments. Prior to the formation of SIC, RDS and ASG were both high-growth portfolio companies of Trive Capital, a Dallas based private equity firm.
In conjunction with its formation, the Company completed a 144a equity offering which raised $225 million in capital from institutional equity investors. The transaction paid down existing debt on the Company’s balance sheet and generated substantial liquidity for near-term acquisitions.
Select Interior Concepts is well positioned for a potential IPO in 2018. The Company has formed and recruited a high-quality Board of Directors with significant building products and executive management experience in both the private and public markets.
Location: Atlanta, GA
Experience: 15+ years of experience as a corporate generalist handling complex contracts, public company governance, compliance, litigation, employment, and real estate. Experience working on M&A and securities matters is essential. Experience in the construction industry and/ or in a global corporation with a complex supply chain and distribution network would be beneficial. The successful candidate will also have deep leadership skills and strong management experience.
