This General Counsel position provides legal services to Vireo Health and its affiliates.
Provides counsel to company management on legal, business and strategic issues.
Prepares, reviews and negotiates contracts and other documents, inclusive of procurement of goods, services and licenses.
Provides counsel regarding compliance with state regulatory frameworks in the states in which company currently operates, along with providing guidance on applications for licenses in new jurisdictions.
Provide opinions on policy questions and legal implications of company operations.
Prepares and reviews documentation and provides counsel regarding real estate purchases, leases and build outs.
Represents company in governmental proceedings and regulatory meetings and other judicial proceedings at times with outside counsel engagement.
Oversees outside counsel resources.
Provides counsel and appropriate documentation to company leadership regarding various employment matters.
Advises on labor law issues and interpretation of collective bargaining agreements. Prior labor law experience preferred.
Assists the company at times with IP matters.
Addresses corporate documentational needs of the company and its affiliates.
Works with management in addressing policy needs and crafting appropriate policy documentation
Ability to travel periodically to various North American operations.
Based on various operational and regulatory deadlines and short window response times, the ability to periodically work nights and weekends is essential.
Strong verbal and written communication skills.
Some experience with regulatory matters a strong benefit. Department of Health experience/interaction preferred but not required.
Experience with negotiation and drafting of a wide variety of documents.
Significant transactional experience including corporate development work preferred.
Familiarity with advising leadership and boards on issues related to corporate formation, operation and strategic initiatives, including expansion.
Familiarity with capital raising preferred.
Required for General Counsel
J.D. degree from an American Bar Association (ABA) accredited law school.
Must be licensed to practice in the state of Minnesota.
5 -15 years of practice preferably with some time spent in an in-house capacity.
