Red Lion Controls has an immediate opportunity for a Chief Counsel at its headquarters location in York. The role has wide-ranging responsibilities and the opportunity presents itself at a critical and exciting time within the Company; Red Lion is aggressively expanding its presence in overseas markets and needs a skilled and experienced legal professional to handle both business arrangements, oversee contract negotiation, anti-bribery and trade compliance, ethics, corporate, antitrust and a number of other critical areas.
The Chief Counsel, reporting to the President, will play an integral role in helping the business evaluate growth opportunities, particularly in emerging economies, assess risk, draft and negotiate agreements and ensure our ethical standards are upheld as we grow the business. The Chief Counsel will work cross-functionally within Red Lion, particularly with colleagues from sales, marketing and finance. Because Red Lion has traditionally been a business with a significant majority of revenue generated from the Americas, an individual with experience in international operations has a tremendous opportunity to positively influence a growing business.
As a member of the Leadership Team the Chief Counsel also serves as the Ethics Officer – the focal point for our Code of Business Ethics– something central to how Red Lion operates as an organization. Collaborating with members of the leadership team, the Chief Counsel drives the tone of Absolute Integrity across the organization while managing trade compliance, anti-bribery and corruption, and export compliance and data privacy training.
Red Lion has aggressive growth plans – both organic and through M&A activities. The Chief Counsel will have significant involvement with and influence on evaluation of targets and execution of any acquisitions (and supporting integration activity) in support of our growth strategy.
The successful candidate will be a key contributor on the leadership team and thus should be prepared to have a comprehensive view of the business outside the traditional in house counsel of the operation. He or she will also be a key member of the Spectris Legal team with a close coordinating role with US Counsel and Group General Counsel.

Key Job Requirements
Serves as chief legal officer within Red Lion and coordinates all relationships with outside counsel to address business issues and processes
Provides integral perspective on the business and business growth opportunities – particularly as the business expands in international markets
The Chief Counsel will be responsible for the coordination, preparation and management of Customer Price Agreements, sale, purchase, distribution, and other essential elements. He or she will be a key participant with Sales and Finance in customer contract negotiation.
Management of all litigation, claims and intellectual property matters.
Manage all trade and export compliance training, documentation and adherence within Red Lion Controls
Conducts export classification and review for all Red Lion products
Conducts training throughout the organization; may create training and disseminate for disbursal throughout the company
Offers legal counsel on issues affecting the business over a wide variety of management practices
Involvement in all merger & acquisition due diligence, deal negotiation and integration activities
Key internal consultant for business expansion, customer relationships and foreign government interactions for international markets
Acts as corporate Secretary for all Red Lion Controls legal entities globally
JD required. Admission to Pennsylvania Bar or eligible for admission as Corporate Counsel under Rule 302.
5+ years’ experience in a recognized commercial law firm or similar, in-house role. In house experience highly desired.
Prior experience managing and leading a multi-function team without constant oversight
Experience in managing commercial / pricing contracts
International experience required. Experience in Asia or Europe preferred.
Strong understanding of and demonstrated ability to manage EAR, OFAC and other trade compliance concerns.
Strong understanding of and demonstrated ability to manage compliance with Ethics, anti-bribery and corruption and Antitrust matters; Familiarity with GDPR desirable
Experience with M&A desirable
Strong and effective communication skills, both written and oral. Must be able to articulate and support the company’s contracting position to both internal and external entities.
Working knowledge of the Federal Acquisition Regulations (FAR), and other relevant Government contracting regulations, policies, and procedures.
Computer skills are required: Excel, Word, and Power Point.
Ability to travel (>20%)
