We are seeking a mid to senior level commercial contracts and technology transactions attorney to join our team.
The responsibilities for this role will include:
Drafting, reviewing, interpreting, negotiating and advising on a variety of complex commercial and technology agreement, both domestically and internationally. Our goal is to move contracts to completion in as expeditious a manner as possible while staying focused on protecting the interests of the Company.
Drafting, revising, updating and maintaining master agreements, non-disclosure, and other standard template agreements; perform regular internal reviews of existing legacy contracts and ensuring legal and policy compliance.
Maintain and enforce the legal process that is necessary to protect our intellectual property prior to granting customers access to propriety software and information.
Post-signing contract management, including amendments to existing contracts, business team support and counsel.
Development and support Company’s technology policies, including policies for cybersecurity and open-source software, as well as related training and compliance programs.
Providing practical legal advice and support on business matters in a fast-paced environment.
Maintaining a high level of professionalism and outstanding business judgment and an innovative approach to legal issues in support of strategic business initiatives and objectives.
Demonstrate capabilities in anticipating legal issues, accepting and effectively resolving sensitive legal projects, handling difficult situations diplomatically and independently.
Collaborate with various business functions in connection with driving deal negotiations.
Support other team members on contracts, training sessions and related projects.
Assist in other areas as needed such as those related to R&D, procurement and marketing.
Coordinate and facilitate other related business initiatives when applicable.
Identifying business and legal risks and offering creative solutions and counseling based on a reasonable balance of the applicable issues.
Self-starter who executes with urgency and is comfortable working in an intense, fast-paced and ever-changing environment. Accuracy and attention to detail are essential requirements for this position.
Excellent interpersonal, written and oral communication skills, as well as a team player attitude.
5+ years of commercial and technology transactions experience supporting a sales team by drafting and negotiating Enterprise-level software license agreements, including SaaS, OEM, reseller/channel partner agreements and various other types of agreements. Experience negotiating against Fortune 100 companies is required.
Experience with Open Source Software (“OSS”) and cloud-based computing issues and familiarity and/or experience with data security and privacy issues is a plus.
International and government contracting experience (including developing and preparing detailed bid and/or proposal specifications and related documents) is also a plus.
D. degree from an accredited, top tier law school and admission to Texas Bar.
Ability to prioritize and undertake mission critical tasks, providing exceptional service to various stakeholders.
Experience with cross cultural communication a plus.
Ability to communicate clearly, concisely and professionally with all levels of management regarding complex legal issues.
Proficient in a CRM tool like Salesforce.com.
U.S. Citizen or U.S. permanent resident ("Green Card" holder).
